Board Responsibilities

The Board of Directors meets four to six times a year and plays an integral role in the ownership, governance, and management of Hood and Dagger Productions Inc. (H&D).

The Board is responsible for the governance of H&D. The primary role of the Board is to establish the strategic direction, develop policies by which the Organization will operate, and provide oversight and advice to the Committees and Officers of the Corporation.

More specifically, the Board of Directors will:

  1. Support and engage the mandate of the organization: vision, mission, values;
  2. Inform, approve, and monitor compliance to the strategic plan;
  3. Advocate for and make decisions that are in the best interests of H&D;
  4. Establish and regularly review the governance framework;
  5. Ensure regulatory compliance;
  6. Establish policy and process for managing risk;
  7. Establish policies with respect to the prudent and ethical operation of the Organization;
  8. Help in the recruitment of new Directors;
  9. Outreach and advocacy;
  10. Lead or support one of the four Committees;
  11. Ensure business is conducted within the By-Laws;
  12. Approve the financial statements of the organization.

These functions are discharged directly by the Board. Individual Board members are expected to bring their unique experience, professional skills, and perspectives to Board discussions and in their exercise of objective, independent judgement for the benefit of H&D. They also have a duty of care and a duty of loyalty to H&D, and a duty to act in H&D’s best interests.

Committees of the Board

Additional duties are discharged through the following Standing Committees of the Board:

  1. Community Connection Committee: Explore strategic partnerships with community groups and organizations.
  2. Grant, Donor, and Sponsorship Committee: Seek sponsorship, fundraising, and grant opportunities.
  3. Marketing and Public Relations Committee: Create and implement marketing plans and public relation outreach to promote each show and H&D in general.
