Assistant Manager, Agency Services

Job Purpose

  • The primary objective of the position is to provide expert support to Deal Managers in closing credit agreements and amendments, establishing records and overseeing various critical aspects of the Syndicated facilities for which Royal Bank of Canada is Agent. The Assistant Manager acts as a first line support to a team of analysts and provides coaching and assistance in complex investigations, training, verification or procedural questions. In addition, the Assistant Manager manages the diarization, follow up and distribution to the syndicate of reporting deliverables, reviews compliance and borrowing base certificates, monitors and updates the various facility limits and pricing on Agency systems and manages the primary assignment process to bring in new Lenders and reduce RBC's underwriting exposure. At times, steps in support of a Deal Mangers absence.
  • The competence with which the incumbent's duties are carried out has a major impact on the credibility of the department, both within and outside the Bank. The role of Agent is highly visible and affects the Bank's ability to obtain Syndication and Agency mandates. Failure to perform in an efficient and competent manner can not only jeopardize the Bank's reputation, but can also result in significant material losses. The incumbent must display considerable initiative in resolving the various requests for interpretation and action that arise daily.

Primary Responsibilities

In collaboration with the Deal Manager:

  • Reviews various types of credit documentation to assist with the closings of amendments, waivers, and consent requests. Of note, operational metrics need to be reviewed on behalf of all Lenders within the syndicate.
  • Assists with various aspects of the closing of new Credit Agreements, manages the funds flow and fee set ups and prepares internal and external partners for ongoing processing activities on and after closing.
In addition the AM is also responsible for the following:

  • Training of new analysts
  • assists in the preparation of the training schedule and conducts on the job training of all operational aspects of funding and related activities.
  • Assists with the oversight of activities of the analysts (including OMS reporting and assisting analysts to make the required corrections), monitors and balances the workload of the team, makes recommendations to the Deal Manager and resolves various escalated issues
  • Reviews the credit agreement to determine required reporting, diarizes due dates, and controls and manages the receipt and distribution to Lenders via the SyndTrak data site. Diligently followsup/escalates with Borrower/Corporate Banker past due compliance reporting when required. Reviews compliance certificates for default language and pricing changes, updates Summary Sheets where required and notifies lenders.
  • Reviews and implements borrowing base changes and notifies lenders. Liaises with Corporate Banking where vetting is required. Ensure limits on ACBS are updated to reflect the lessor of facility authorized/BB amount and advise lenders of any changes. Manage and monitor Cash Dominion events. Manage and monitor Swingline limit changes on Agent register.
  • Followup and process of Lender name changes
  • Ensure that necessary documentation is received (i.e. Tax forms/ADF forms/name change/merger certificate) and the date of merger is correctly recorded on ACBS (will affect the interest payout), and transfer partial interest accrued to new lender SRF; notify Tax and Admin of name changes and advise them to amend the payment instructions accordingly;
  • Maintains the department's AML process in accordance with established guidelines for all secondary assignments where RBC is not a party to the transaction and escalate any issues to AML for further investigation;
  • Maintain & update Analysts and AM tool guides and checklists
  • Provide support and guidance to analysts and other Agency staff and aid in problem resolution to ACBS discrepancies where required.
  • Provide backup for other Assistant Managers during peak periods and absences and partial backup for DM if and when required;
  • Act as verification officer for all ACBS two touch transactions created by Deal Managers, other Assistant Managers and Analysts and provide verification assistance in high monthend/quarterend volumes.
