Nous sommes à la recherche de parajuristes à temps plein pour se joindrent aux équipes de droit corporatif de nos clients à Montréal. Vous serez chargé(e) de fournir des services parajuridiques de qualité dans le cadre des transactions commerciales substancielles, en travaillant en étroite collaboration avec les équipes juridiques de cabinets les plus réputées au niveau national.


Responsabilités principales:


  • Préparer la documentation relative à la constitution d’une société, aux organisations, aux modifications, aux dissolutions, aux prorogations, aux modifications du capital-actions, aux enregistrements extra-provinciaux, aux roulements, aux gels successoraux et aux autres transactions d'entreprise, y compris la vérification diligente liée aux fusions et aux acquisitions;
  • Effectuer la vérification diligente des livres de minutes et procéder aux régularisations requises;
  • Participer à la surveillance des bonnes pratiques de gouvernance d'entreprise;
  • Rédiger les résolutions annuelles de l’entreprise et tenir les registres de l’entreprise, y compris les déclarations fédérales, provinciales et toutes autres déclarations statutaires;
  • Gérer des dossiers physiques et virtuels et suivre leur déroulement;
  • Participer à divers projets;
  • Assister de manière générale à toutes les questions relatives à la pratique de droit corporatif du cabinet, ainsi qu'aux initiatives de développement de la clientèle.


Qualifications:


  • 5 à 15+ ans d'expérience en tant que parajuriste corporatif dans un cabinet
  • Diplôme d’études collégiale (DEC) en technique parajuridique ou diplôme équivalent;
  • Excellentes compétences en communication orale et écrite en français et en anglais;
  • Capacité démontrée de communiquer professionnellement avec les clients et les membres de l'équipe;
  • Méticuleux(euse) et soucieux(euse) du détail;
  • Maîtrise de la suite Microsoft Office (en particulier Outlook, Word et Excel);

Role:


We are looking for full-time Paralegals to join the Corporate Group of our clients in Montreal. You will be responsible for delivering quality paralegal services in connection with their clients’ business transactions, working closely with the firms legal teams and clients on some of the highest-profile transactions nationally.


Primary Responsibilities:


  • Prepare documentation relating to incorporations, organizations, amendments, dissolutions, continuances, share capital, extra-provincial registrations, rollovers, estate freezes and other corporate transactions, including due diligence related to mergers and acquisitions;
  • Conduct due diligence on minutes books and make the required regularizations;
  • Participate in monitoring good corporate governance practices;
  • Draft annual corporate resolutions and maintain the company's corporate records, including federal, provincial and non-provincial returns, among other;
  • Manage physical and virtual files and monitor their progress;
  • Participate in various projects;
  • Assist generally with all matters relating to the firm’s corporate practice, as well as with client development initiatives.


Qualifications:


  • 5 to 15+ years of experience as a corporate paralegal (law firm experience);
  • Diploma of Collegial Studies (DCS) in Paralegal Technology or equivalent diploma;
  • Excellent oral and written communication skills in French and English;
  • Demonstrated ability to communicate in a professional manner with clients and team members;
  • Meticulous and detail-oriented;
  • Proficient in Microsoft Office Suite (particularly Outlook, Word and Excel);
