We are looking for a Legal Assistant
Yogen Früz ® is looking for an experienced Legal Assistant with experience and/or knowledge in the areas of franchising and franchise law including but not limited to Franchise Disclosure Documents (“FDD”), and Statements of Material Change (“SoMC”).
**Job duties and responsibilities for the Legal Assistant role include, but are not limited to**:
- Drafting and reviewing legal documents - specifically NDAs, LOIs and term sheets.
- Drafting, reviewing, and issuing FDDs, SoMCs and related franchising documentation including franchise and sublease agreements, letters of default, notices to landlords, franchisees, and related parties.
- Gathering information for preparation of franchise disclosure documents.
- Preparing drafts of various franchise documents, primarily utilizing forms and standardized provisions.
- Facilitating full execution of documents by franchisees and ensuring signatures are returned and filed appropriately.
- Communicating with current franchisees and prospects to facilitate the establishment of various franchised businesses.
- Assisting in the transfer and renewal of franchised businesses, ensuring completion and receipt of all closing documents and information.
- Maintaining and updating various internal databases regarding franchisees, franchise, and lease agreements and location information.
- Setting up, organizing and maintaining legal files.
- Composing correspondence and drafting legal documents with assistance from Counsel and Paralegal.
- Responding to inquiries regarding legal files.
- Administering agreements.
- Preparing Schedules to agreements.
- Scheduling meetings and maintaining calendars.
- Providing support to members of the legal department.
- Communicating and managing communications with external counsel.
- Maintaining internal legal tasks data base/tracker; assigning tasks to members in the department.
- Keeping the legal department well-organized and running efficiently.
- Carrying out other administrative duties as required to support the legal department and investment team.
**Experience and Skills required for the Legal Assistant role**:
- Law Clerk or Legal Assistant diploma or certificate from an accredited institution, or equivalent combination of education and experience.
- 2+ years’ experience as a Law Clerk or Legal Assistant.
- Understanding of legal terminology, legal documentation, formats, and processes associated with contracts and commercial agreements.
- Foundational knowledge of corporate law and corporate structures.
- Knowledge of franchise laws and real estate laws.
- Strong organizational and prioritization skills and multi-tasking capabilities.
- Attention to detail and ability to work both independently and as part of a team.
- Excellent English and proof-reading skills.
- Strong client service skills.
