Senior Vice President of Legal and Risk Strategy

Position Overview:
At Cowan Insurance Group, we are a team of dedicated professionals committed to excellence in client service. The Senior Vice President of Legal and Risk Strategy will report directly to the President and COO and play a vital role as a member of the Executive Leadership Team, overseeing both Cowan Insurance Group and its parent company.
Key Responsibilities:
For Cowan Insurance Group:
- Investment Oversight: Facilitate due diligence for fund managers, including document assessments and compliance checks. Manage relationships with banking and custodial partners.
- Property Legal Affairs: Address legal issues related to owned and leased properties.
- Information Security Leadership: Serve as the executive lead for information security initiatives.
- Insurance Management: Oversee the Group's Property and Casualty insurance coverage, including policy renewals and claims management.
- Regulatory Compliance: Monitor and manage general legal matters, including regulatory and legislative developments.
- Intellectual Property: Manage trademark registrations and related legal matters.
- Corporate Governance: Develop and maintain corporate policies across various domains such as investments, human resources, and information technology.
- M&A and Due Diligence: Lead due diligence efforts and M&A activities, whether within the operating company or through direct investments.
For the Operating Company:
- Business Continuity: Manage business continuity planning and execution.
- Privacy and Compliance: Act as the Privacy Officer and Compliance Officer, ensuring adherence to legal standards.
- Whistleblower Management: Oversee the management of the whistleblower reporting channel.
- Risk Assessment: Conduct annual business risk assessments and provide ongoing reporting.
- Licensing and Reporting: Manage licensing processes and E&O reporting.
- Data Security Best Practices: Ensure compliance with data security standards, including SOC II and evolving legal requirements.
- Contract Management: Negotiate, review, and ensure compliance with contracts.
- HR Collaboration: Work closely with HR on policy development, health and safety, and employee relations.
- Regulatory Updates: Implement new regulatory and legislative requirements.

- Director of Compliance and Quality Assurance
Qualifications:
- Must be a licensed legal professional in Ontario.
- At least 5 years of relevant legal experience, either in a law firm or in-house.
- Strong analytical and problem-solving capabilities, with a track record of simplifying complex issues.
- Detail-oriented with excellent collaboration skills.
- Exceptional verbal and written communication skills, with a focus on practical solutions.
- Proven expertise in legal drafting, including contracts and agreements.
- Outstanding organizational and time management skills, adept at managing multiple priorities.
