About the Role

We are seeking a highly skilled and experienced Corporate Lawyer to join our team at Canadian Pacific Railway. As a key member of our Legal Services team, you will provide expert legal advice and support to our business units, focusing on corporate governance, pension, and finance matters.

Key Responsibilities
  • Provide legal opinions and advice on corporate governance, pension, and finance matters, ensuring compliance with relevant laws and regulations.
  • Review and draft contracts, agreements, and other documents related to corporate operations, including financing, banking, and commercial agreements.
  • Assist with the preparation of continuous disclosure and regulatory compliance documents, ensuring timely and accurate submissions.
  • Coordinate work with external counsel, instructing, directing, and overseeing their performance of CPKC legal work.
  • Manage significant legal files independently, from issue presentation to file conclusion, ensuring effective case management and timely resolution.
  • Liaise and collaborate with other members of the Legal Services and Corporate Secretary teams to ensure comprehensive and consistent support.
Requirements
  • Membership in the Law Society of one or more provinces of Canada.
  • 5-8 years of demonstrated experience in corporate law, including transactional experience, gained from a top-tier firm, boutique, or in-house.
  • Demonstrated experience in completing transactions with successful results.
  • Knowledge of the business and regulatory environment that companies in federally regulated businesses operate in.
  • Ability to apply applicable legal principles to CPKC business and operations, transforming principles into proactive, effective, and strategic advice for senior leaders.
  • Ability to communicate legal principles and explain business implications effectively and pragmatically.
  • Managing relationships with external counsel.
  • Organizational skills acquired through experience with managing conflicting priorities and high volumes of work.
