Role Overview

We are seeking a highly skilled Corporate Counsel to join our team as a Regulatory Affairs Lawyer. As a key member of our legal team, you will be responsible for advising on a wide range of commercial agreements, conducting legal risk assessments, and participating in cross-functional initiatives. Your expertise will be essential in ensuring compliance with regulatory laws and mitigating risks to stakeholders.

Key Responsibilities

  • Advise on commercial agreements involving complex legal issues, including licenses, terms & conditions, service agreements, and partnership agreements.
  • Conduct legal risk assessments and work with business leaders to mitigate risks related to health and privacy matters.
  • Participate in cross-functional initiatives, such as impact assessments related to new legislation, new service offerings, and new products.
  • Oversee regulatory laws and risks, ensuring compliance with relevant regulations.
  • Structuring, drafting, and negotiating commercial agreements, including representative agreements and contracts.
  • Work closely with the COO, business development, product, and marketing teams to ensure alignment with business objectives.
  • Provide regulatory legal advice and guidance on strategic transactions, including monitoring legal and market developments.
  • Manage external counsel and corporate services providers, ensuring timely and cost-effective delivery of services.
  • Act as a subject matter expert on contract review, strategic transactions, and knowledge management.

Requirements

  • LLB or JD degree and membership in good standing with the Law Society of Ontario.
  • Strong understanding of corporate and contract law, with a focus on technology and start-up companies.
  • Ability to identify legal and reputational risks and propose solutions.
  • Experience with M&A transactions is an asset.
  • Excellent verbal and written communication skills, with the ability to translate complex regulatory standards and legal concepts.
  • Excellent organizational and time management skills, with the ability to handle competing priorities and deadlines.
  • Excellent interpersonal skills, with influence and conflict resolution ability.
  • Knowledge and understanding of corporate, contract, healthcare, patent, and employment law.
