Job Title: Corporate Counsel

We are seeking a highly skilled Corporate Counsel to join our team at Myant Inc. As a key member of our leadership team, you will play a critical role in shaping the company's legal strategy and ensuring compliance with regulatory requirements.

Job Summary:

The Corporate Counsel will be responsible for providing legal advice and guidance on a wide range of commercial agreements, including contracts, licenses, and partnerships. You will work closely with our business development, product, and marketing teams to ensure that our legal and regulatory obligations are met.

Key Responsibilities:
  • Advise on commercial agreements, including contracts, licenses, and partnerships
  • Conduct legal risk assessments and provide recommendations to mitigate risks
  • Participate in cross-functional initiatives and projects, including impact assessments related to new legislation and market developments
  • Oversee regulatory laws and risks, ensuring compliance with relevant regulations
  • Structuring, drafting, and negotiating commercial agreements, including licenses, terms & conditions, service agreements, and partnership agreements
  • Working directly with COO, business development, product, and marketing teams
  • Provide regulatory legal advice, guidance, and support for strategic transactions
  • Plan, prepare, and review regulatory documentation, ensuring suitability for submission to regulatory agencies
  • Carrying out negotiations with strategic partners and clients, customers, partner universities, and healthcare providers
  • Managing external counsel and corporate services providers
  • Act as a subject matter expert on contract review, strategic transactions, and knowledge management
  • Provide strategic legal advice to support the company's day-to-day operations
Requirements:
  • LLB or JD and be a member in good standing with the Law Society of Ontario
  • Training from a recognized Canadian legal firm
  • Experience in and good understanding of corporate and contract law, IP, health care, and regulatory
  • Ability to proactively identify legal and reputational risks and propose solutions
  • Experience with M&A is a bonus
  • Comfortable working on complex legal matters
  • Excellent verbal and written communication skills, including the ability to translate complex regulatory standards or legal concepts in a manner that can be understood by a functionally diverse audience
  • Excellent organizational and time management skills required to handle competing priorities and deadlines
  • Excellent interpersonal skills with influence and conflict resolution ability
  • US legal experience an asset
