About the Role



We are seeking a Senior Manager to join our Mergers and Acquisitions Tax team in Canada. As a Senior Manager, you will work directly with clients to provide expert advice on tax risks associated with acquisitions and divestitures, sustainable tax structuring opportunities, and tax modeling.



Your Responsibilities




  • Perform tax due diligence procedures, including reviewing tax and financial data, interviewing management and tax advisors, and identifying issues in collaboration with a cross-functional tax team.
  • Draft tax due diligence reports and prepare other draft deliverables.
  • Prepare drafts of tax structuring documents for domestic and cross-border transactions, including drafting transaction steps, depicting structure diagrams, and analyzing the associated tax considerations.
  • Conduct tax research, including searching common tax information tools and summarizing findings.
  • Develop tax models for transactions, including tax calculations and after-tax cash flow analyses in the public and private contexts.


Requirements




  • An undergraduate degree in Accounting, Finance, or Law, or a related field.
  • Completion of an Accounting designation (CPA, CA, or equivalent) or Legal Background (or equivalent).
  • 3-5 years of Tax experience.
  • Strong understanding of transactional methodologies, including data room navigation, due diligence processes and procedures, and reporting output.
  • Strong project management and analytical skills.
  • Ability to interpret tax legislation.
  • Excellent written and verbal communication skills.
  • Strong research and analytical skills.
  • Demonstrated ability to interact effectively with a diverse group of clients.
  • Customer-centric, able to anticipate client needs.
  • Willingness to learn and develop expertise on various aspects of the M&A Tax services from the transaction process, tools, and technologies to deep technical aspects of tax legislation.
