Job Summary

We are seeking a highly skilled Corporate Counsel to join our team at Definity. As a key member of our legal department, you will play a critical role in reviewing, drafting, and negotiating various agreements, including templates, non-disclosure, licenses, professional services, marketing, corporate services, and lease agreements.

Key Responsibilities
  • Collaborate with cross-functional teams to analyze and interpret complex matters related to our operations, providing expert advice on legal issues, regulatory compliance, intellectual property, and negotiation and contract management strategy.
  • Consult with other members of our Legal team to drive consistency in our approach to partnering with vendors and other third parties.
  • Participate in the continuous improvement of our processes and systems for contracting and legal risk management.
  • Provide assistance for strategic initiatives as required.
Requirements
  • Law Degree from an accredited law school (LLB or Juris Doctor).
  • Licensed by the Law Society of Ontario to practice law as a lawyer in Ontario.
  • At least 3 years of post-call experience drafting and negotiating legal agreements, such as strategic partnerships, vendor agreements, goods and services, software and other licensing arrangements, service level agreements, cloud-based services, and other technology-related offerings.
  • Exposure to insurance or other financial institutions is an asset.
  • Excellent communication, research, and drafting skills, including the capacity to communicate with business partners in the way they want to be dealt with.
  • Outstanding judgment and ability to deal with complex issues and safeguard confidential information.
  • Ability to perform under pressure, meet deadlines, and handle multiple, sometimes conflicting priorities.
  • Willingness to build strong business relationships.
  • Exemplary professionalism and integrity.
  • Self-starter with a great attitude.
