Director Chief Legal Advisor

About the Role

We are seeking a highly skilled and experienced Director Chief Legal Advisor to join our team at National Bank. In this role, you will be responsible for providing expert legal advice and guidance to the Bank and its subsidiaries.

Key Responsibilities
  • Act as a recognized expert in subsidiary governance.
  • Legally manage the Bank's subsidiary organizational chart.
  • Support subsidiary boards of directors by being responsible for advising directors, preserving the legal existence of subsidiaries, keeping their minute books, organizing board and committee meetings, and coordinating the filing of corporate and regulatory reports.
  • Participate in projects such as corporate reorganizations, the organization of the Bank's annual shareholders' meeting, and the drafting of related documents.
  • Ensure the advancement and integration of best practices in governance within the subsidiaries.
  • Provide legal advice and intervene in strategic matters impacting the activities and operations of the Bank and its subsidiaries.
Requirements
  • Bachelor's degree in law and a minimum of 10-15 years of experience.
  • Member of the Barreau du Québec or the Chambre des notaires du Québec.
  • Good knowledge of corporate law and governance.
  • Strong interpersonal skills and team spirit.
  • Diligence and attention to detail.
