Saputo Inc. is seeking a highly skilled Senior Corporate Governance and Securities Specialist to join our Legal Affairs team as a key member, reporting directly to the Director of Legal Affairs. This role plays a pivotal part in ensuring seamless governance and corporate secretary services for the company.

Key Responsibilities:
  • Meeting Management: Prepare agendas and effectively manage documents for board of directors meetings, guaranteeing smooth communication among stakeholders.
  • Drafting and Review: Develop and review public disclosure documents, including proxy circulars and annual information forms, maintaining adherence to regulatory requirements.
  • Corporate Entity Management: Oversee corporate entities and global subsidiaries of Saputo Inc., ensuring compliance with relevant laws and regulations.
  • Governance Strategy: Collaborate in articulating governance and disclosure strategy, providing expert advice to inform decision-making processes.
  • Reorganization Projects: Assist with corporate reorganization projects and stay informed of legislative changes, enabling proactive adaptations to ensure business continuity.
  • Employee Plans: Provide support for long-term incentive plans and employee stock ownership plans, fostering employee engagement and retention.
Requirements:
  • Licensure: Be a member of the Quebec Bar, upholding the highest standards of professional conduct.
  • Experience: Possess 3-5 years of experience in corporate law, governance, and securities, demonstrating a strong understanding of relevant regulations.
  • Language Proficiency: Exhibit mastery of French and English languages, both orally and in writing, facilitating effective communication with diverse stakeholders.
  • Communication Skills: Display excellent communication and writing skills, producing clear and concise reports, and engaging in productive discussions.
  • Organizational Abilities: Showcase rigor, good organizational skills, discretion, and ability to perform during busy periods, ensuring efficient task management and delivery.
  • Teamwork: Demonstrate ease of working in a team, fostering collaboration and contributing to a positive work environment.
