Job Summary

Altus Group Limited/Groupe Altus Limitée is seeking a highly skilled Director of Mergers and Acquisitions to join our Corporate Development team. As a key member of our team, you will be responsible for identifying and evaluating strategic transactions, supporting the Vice President throughout the deal lifecycle, and facilitating due diligence.

Key Responsibilities
  1. Proactively scan, cultivate, and evaluate potential strategic transactions that align with company objectives.
  2. Support the Vice President on transactions throughout the deal life cycle, including letter of intent, purchase agreements, due diligence, bank finance agreements, and public debt/equity offering documents.
  3. Facilitate the due diligence process and coordinate across multiple internal teams.
  4. Review and assist in the drafting of transaction legal documentation, including Letter of Intents, Term Sheets, and Merger Agreements.
  5. Create consolidated detailed financial models, statistical analysis, and transaction summaries.
  6. Support the collection, reporting, and presentation of multiple data elements to forecast the progress of M&A projects, assessing risk, and monitoring the impact of the M&A project.
  7. Prepare reports related to active M&A projects and track budgets and project deliverables.
  8. Work with the business unit to provide assistance in the execution of post-transaction objectives.
  9. Collaborate with finance to support purchase price allocation exercises.
  10. Oversee, prepare, and model portfolio recommendations for strategic opportunities for equity investments.
  11. Monitor investment portfolio performance and periodically assess valuation, liaising with Finance on financial reporting requirements.
Key Qualifications
  1. CPA, CFA, and MBA are assets.
  2. Industry experience: 7+ years of relevant working experience in investment banking, private equity, corporate development, transaction advisory, corporate finance, etc.
  3. Experience working with small owner/managed businesses as a client/target.
  4. Expert understanding of financial reporting, financial statements, and business combinations.
  5. Excellent analytical capabilities, including demonstrated knowledge of valuation techniques and practices.
  6. Advanced technical skills in Microsoft Office applications (Excel, Word, PowerPoint), industry technology (Bloomberg, Factset, CapitalIQ), and applicable software.
  7. Outstanding financial modeling skills to develop comprehensive financial models, forecast the effect of transactions on the Company as a whole, and develop business cases to support recommended actions.
  8. Frequent interactions with Senior Executives, Business Owners, Investment Bankers, Lawyers, Accountants, and other key stakeholders require confidence and refinement. Ability to demonstrate experience leading highly complex, cross-functional, and time-sensitive projects.
