Senior Aviation Counsel

This exciting role offers a unique opportunity to leverage your expertise in aviation law and corporate governance to drive business growth and success at Standard Aero.
As Senior Aviation Counsel, you will provide strategic legal counsel to the Airlines & Fleets Sector senior leadership team, reporting directly to the General Counsel. Your primary responsibilities will include:
- Drafting, reviewing, analyzing, and negotiating OEM agreements, service center agreements, dealer and intellectual property licensing agreements, proposals, requests for proposals, agent and sales intermediary agreements, real-estate leases, non-disclosure agreements, and various others as needed.
- Managing in-house litigation matters, including legal research, memorandum drafting, motion practice, e-discovery and other discovery requests, lien filings, secured transactions, abandoned assets, and demand and response letter drafting. You will work closely with outside counsel as needed.
- Overseeing sector merger and acquisition activities, from pre-buy counseling and due diligence to post-close integration.
- Managing and training sector staff counsel associated with legal, contract administration, and subcontract administration responsibilities
- Coordinating with various business functions, including legal, business, finance, insurance, marketing and communications, operations, quality, corporate security, IT, procurement and supply chain, human resources, and compliance units on various matters, including but not limited to: contract negotiations, strategies, actions, and priorities to support new and existing business relationships.
- Reviewing and analyzing FAA, EASA, and international equivalent regulations and providing business counseling to senior leadership.
- Implementing and engaging in continuous improvement methods to develop and enhance departmental and sector processes, policies, and procedures related to contract management and administration functions.
- Applying risk management strategies and analysis to all aspects of the business.
- Developing and conducting continued education and training sessions to senior leadership and management as needed to ensure currency of knowledge and understanding of legal and contracting principles.
- Assisting as compliance point of contact and gatekeeper for sector anti-corruption and trade compliance activities, working with corporate anti-corruption and trade compliance teams to ensure maximum risk mitigation.
Requirements:
- Must be authorized to work in Canada
- JD and active member of a state bar in the US or a Bachelor of Laws (LLB) from a recognized institution
- Bachelor's degree in business administration, engineering, accounting; or equivalent
- Minimum 10 years in private practice or in-house experience (in-house experience preferred, but not required)
- Aviation law experience a plus
- General knowledge of anti-bribery law (including Foreign Corrupt Practices Act, UK Bribery Act, Canadian Corruption of Foreign Public Officials Act) as well as general trade compliance matters, ITAR and EAR regulations, global sanctions, SDN lists, and Executive Orders preferred
The ideal candidate will possess strong analytical and problem-solving skills, with the ability to think creatively and anticipate problems. They will also have excellent communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams. Additionally, they will have a keen ability to recognize and isolate legal issues for further review to determine impact to the business.
Compensation: The salary range for this position is $180,000 - $220,000 per year, commensurate with experience.
