This position will provide counsel, advice, and support to the senior leadership team of StandardAero's Airlines & Fleets Sector. The ideal candidate will have a strong background in contract management, litigation, and risk management.

Key Responsibilities:
  • Contract Management: Draft, review, analyze, and negotiate OEM agreements, service center agreements, dealer and intellectual property licensing agreements, proposals, requests for proposals, agent and sales intermediary agreements, real-estate leases, non-disclosure agreements, and various others as needed.
  • Litigation Management: Manage in-house litigation matters, including legal research, memorandum drafting, motion practice, e-discovery and other discovery requests, lien filings, secured transactions, abandoned assets, and demand and response letter drafting.
  • Mergers and Acquisitions: Manage sector merger and acquisition activities, from pre-buy counseling and due diligence to post-close integration.
  • Staff Training and Development: Manage and train sector staff counsel associated with legal, contract administration, and subcontract administration responsibilities.
  • Cross-Functional Collaboration: Coordinate with legal, business, finance, insurance, marketing and communications, operations, quality, corporate security, IT, procurement and supply chain, human resources, and compliance units on various matters including but not limited to: contract negotiations, strategies, actions, and priorities to support new and existing business relationships.
  • Regulatory Compliance: Review and analyze FAA, EASA, and international equivalent regulations and provide business counseling to senior leadership.
  • Process Improvement: Implement and engage in continuous improvement methods to develop and enhance departmental and sector processes, policies, and procedures related to contract management and administration functions.
  • Risk Management: Understand and apply risk management strategies and analysis to all aspects of the business.
  • Compliance and Training: Develop and conduct continued education and training sessions to senior leadership and management as needed to ensure currency of knowledge and understanding of legal and contracting principles.
  • Anti-Corruption and Trade Compliance: Assist as compliance point of contact and gatekeeper for sector anti-corruption and trade compliance activities, working with corporate anti-corruption and trade compliance teams to ensure maximum risk mitigation.

Requirements:

  • Must be authorized to work in Canada.

Education and Experience:

  • JD and active member of a state bar in the U.S. or a Bachelor of Laws (LLB) from a recognized institution.
  • Bachelor's degree in business administration, engineering, accounting; or equivalent.

Skills and Experience:

  • Minimum 10 years in private practice or in-house experience (in-house experience preferred, but not required).
  • Persistent drive for results using program management, risk management and problem solving skills in a cross-functional team environment.
  • Ability to operate in a general practice setting, requiring a keen ability to recognize and isolate legal issues for further review to determine impact to the business.
  • Ability to think, assesses risk, and respond quickly and clearly to senior level business leadership.
  • Strong communication, writing, presentation skills.
