We are seeking a highly skilled and experienced legal professional to join our team as Director, Legal. As a key member of our Legal and Regulatory Affairs team, you will provide expert legal advice and support to our energy marketing, trading, and asset management business.

Key Responsibilities:
  • Provide legal advice and guidance on contract drafting, review, and negotiation, including energy trading contracts, regulatory compliance, and risk management.
  • Work closely with our trading and origination teams to develop and implement effective legal strategies to support business growth and minimize regulatory risk.
  • Manage and oversee the development of compliance manuals, policies, and training documentation to ensure adherence to regulatory requirements and company policies.
  • Provide expert advice on risk mitigation and compliance, including FERC regulations, CFTC/Dodd-Frank regulations, ISO/RTO market rules, exchange rules, anti-corruption, and import/export requirements.
  • Collaborate with our power generation facility staff to draft and negotiate commercial agreements and provide advice on compliance with applicable laws.
  • Handle commercial disputes and related commercial litigation as needed, including overseeing external counsel.
  • Oversee corporate governance matters, including legal entity management and director and officer changes.
  • Manage or assist with various company projects, including cyber-security preparedness and response, mergers and acquisitions, financings, and corporate reorganizations.
Requirements:
  • Law degree (LL.B or Juris Doctor) from an accredited law school and eligibility to practice in Nova Scotia.
  • 6+ years post-call relevant commercial and transactional legal experience at a reputable law firm or in-house environment.
  • Previous experience with energy trading contracts, regulatory compliance, or risk management is highly desirable.
  • Strong interpersonal skills and ability to work collaboratively with team members to achieve company goals and maintain relationships with clients and key stakeholders.
  • Business acumen to offer practical legal advice that fully appreciates business risks and opportunities.
  • Super organized and detail-oriented with clear, effective, and practical contract drafting skills.
  • Display enthusiasm while maintaining a high level of productivity in a dynamic and fast-paced environment.
  • Effective oral and written communication skills with demonstrated success in presenting ideas and legal concepts in a practical and non-legalese manner.
