About the Role:

The Senior Law Clerk or Paralegal will provide critical support in the coordination and execution of legal documentation, agreements, and initiatives within the business operations of Loblaw Companies Limited.

Key Responsibilities:

  • Serve as the primary point of contact for business requests relating to franchise documents, ensuring timely and accurate responses.
  • Conduct and report on due diligence searches, providing valuable insights to inform business decisions.
  • Draft and finalize transactional agreements, including franchise grants, renewals, and amendments, in collaboration with in-house legal counsel.
  • Ensure the maintenance of security registrations and update franchise documents on an annual basis, incorporating changes in material facts.
  • Liaise with business colleagues to ensure the execution and retention of key contracts, fostering strong relationships and effective communication.
  • Work closely with in-house legal counsel on various transactions and projects, providing administrative support and expertise.
  • Create and revise template documents, including those related to franchise grants and share purchase transactions, to maintain consistency and efficiency.
  • Maintain a precedent database and version control system, ensuring easy access to relevant documents and information.
  • Collaborate with the IT department to implement new technologies and improve contract compilation tools, enhancing the overall efficiency of the business.
  • Champion records management processes, ensuring compliance with regulatory requirements and best practices.

Requirements:

  • College diploma in paralegal or other relevant training/experience.
  • Minimum 5 years of experience in a paralegal role, preferably in a franchise or commercial contracts environment.
  • Expertise in franchising or commercial contracts is an asset.
  • Proficiency in both French and English, with excellent communication skills, both written and verbal.
  • Keen attention to detail, process-oriented, and analytical skills.
  • Ability to manage multiple files and prioritize tasks effectively.
  • Flexibility and willingness to adapt to changing priorities and deadlines.
  • Strong team player with excellent relationship-building skills, both internal and external to the legal department.
  • Proficient in MS Office and Sharepoint, with experience using various websites and platforms, such as the Registre des droits personnels et réels mobiliers.
