The Alberta Securities Commission (ASC) serves as the industry-funded authority responsible for enforcing the province's securities regulations. Its mission is to cultivate a transparent and effective capital market in Alberta while safeguarding investor interests. As a participant in the Canadian Securities Administrators (CSA), the ASC aims to enhance, coordinate, and standardize the oversight of Canada's capital markets.

The Office of the General Counsel (OGC) functions as an internal legal, policy, strategy, and risk management resource for the ASC. The OGC offers legal counsel across various domains, including statutory interpretation, administrative law, securities regulation, corporate and commercial law, information technology and intellectual property law, procurement law, and privacy law. Additionally, the OGC advises on freedom of information access requests and corporate governance issues. Both legislative and Corporate Secretarial functions are integrated within the OGC.

Position Overview

Reporting directly to the General Counsel, the successful applicant will join the OGC team in delivering legal guidance to the Chair & CEO, Commission Members, Executive Director, management, and ASC personnel on a diverse array of matters, encompassing corporate, securities, administrative, and privacy law.

Key Responsibilities

  • Delivering legal advice and drafting documentation related to various subjects concerning the application and interpretation of securities legislation, legislative obligations for public agencies in Alberta, corporate and commercial law, emerging issues in capital markets, and administrative law.
  • Engaging in corporate governance-related policy initiatives within the CSA, evaluating implications for internal ASC governance, and aiding in the formulation of internal policies and governance frameworks.
  • Providing legal services support to operational divisions regarding procurement matters and contract law.
  • Assisting colleagues in the Corporate Finance, Market Regulation, and Enforcement divisions with assessing appropriate regulatory responses to compliance violations, confidentiality concerns, and complaints.
  • Offering legal support in relation to ASC and CSA policy development, including research, analysis, and counsel on various statutory interpretation and legal authority inquiries.
  • Delivering legal services concerning any matters under the purview of the OGC.
  • Supporting the General Counsel and the Corporate Secretary as necessary.
Qualifications
  • A law degree accompanied by a minimum of seven years of pertinent legal experience, particularly in securities law and governance issues.
  • Membership in good standing (or eligibility for membership) with the Law Society of Alberta.
  • Familiarity with and experience in securities legislation in Alberta.
  • Understanding of corporate governance requirements, principles, and current issues.
  • Extensive knowledge in corporate and commercial law with experience in negotiating various contracts.
  • The capability to negotiate and advocate effectively while collaborating with others.
  • Strong, up-to-date research abilities, along with highly developed analytical and problem-solving skills.
  • Exceptional verbal and written communication skills.
  • The ability to manage competing priorities and exercise sound judgment.
  • Experience in a regulatory environment and the financial technology sector would be advantageous.
