Job Summary

We are seeking a highly skilled Junior Corporate Governance Specialist to join our Infrastructure Legal Department. As a key member of our team, you will be responsible for providing corporate governance support to our subsidiaries and ensuring compliance with relevant laws and regulations.

Key Responsibilities

  • Prepare and file corporate documents, including articles, by-laws, and resolutions
  • Draft and review forms of resolutions and consents supporting corporate actions
  • Prepare and file annual returns, update business name registrations, and complete extra-provincial licenses
  • Update and maintain corporate secretariat databases
  • Provide support to transaction teams by responding to KYC requests
  • Assist with project-based tasks, such as dissolutions and amalgamations
  • Assist internal clients with general corporate matters
  • Maintain relationships with external corporate secretariat functions
  • Oversee completeness and accuracy of execution documents

Qualifications

  • Post-secondary education in law or a related field
  • 4-6 years of experience in corporate governance or a related field
  • Strong knowledge of Canadian corporate laws and regulations
  • Excellent communication and organizational skills
  • Ability to work independently and as part of a team
  • High proficiency in MS Word and Excel
