About the Role

This is a senior-level position that requires a high degree of expertise in corporate governance and compliance. The successful candidate will be responsible for providing strategic guidance and support to the Board of Directors and senior management on all matters related to governance and compliance.

Key Responsibilities
  • Board Governance
    • Develop and implement effective governance policies and procedures to ensure compliance with regulatory requirements and best practices.
    • Provide guidance and support to the Board of Directors on governance matters, including the development of agendas, minutes, and other governance-related documents.
    • Ensure that all governance-related activities are conducted in accordance with the Bank's Articles of Incorporation, By-laws, and other governing documents.
  • Compliance
    • Develop and implement effective compliance programs to ensure that the Bank is in compliance with all relevant laws, regulations, and industry standards.
    • Provide guidance and support to the Board of Directors and senior management on compliance matters, including the development of policies, procedures, and training programs.
    • Ensure that all compliance-related activities are conducted in accordance with the Bank's Articles of Incorporation, By-laws, and other governing documents.
  • Corporate Services
    • Provide administrative support to the Board of Directors and senior management, including the preparation of meeting materials, minutes, and other governance-related documents.
    • Ensure that all corporate records and documents are accurate, complete, and up-to-date.
    • Provide guidance and support to the Board of Directors and senior management on corporate governance matters, including the development of policies, procedures, and training programs.
  • Other
    • Manage and maintain the Bank's governance portal, including the upload and management of governance-related documents and materials.
    • Develop and implement effective communication strategies to ensure that all stakeholders are informed of governance-related matters.
    • Provide guidance and support to the Board of Directors and senior management on governance-related matters, including the development of policies, procedures, and training programs.
Requirements
  • Education
    • University degree in a relevant field, such as law, business, or governance.
  • Experience
    • 10-15 years of experience in corporate governance and compliance, with a focus on the financial services industry.
  • Skills
    • Strong knowledge of corporate governance and compliance principles and practices.
    • Excellent communication and interpersonal skills.
    • Ability to work independently and as part of a team.
    • Strong analytical and problem-solving skills.
    • Ability to read and understand complex documents and materials.
