Role Overview

The Investment Structure Management (ISM) team is responsible for the operational structuring of deals and comprehensive management of the investment lifecycle. This team also oversees the operational risks associated with CPP Investments' group entities, collaborating with partners in Legal and Finance. This dynamic role offers extensive insight and exposure to various aspects of our organization and includes project management responsibilities.

Reporting to the Managing Director of ISM, the individual in this position will support various projects and initiatives, provide investment structuring assistance, and help establish and manage CPP Investments group companies utilized for making investments.

You will collaborate with investment teams, non-investment teams, and external advisors, playing a pivotal role in the following areas:

  1. Lead the pre-close structuring and ongoing management of new investments, exits, and restructurings, which involves:
    1. Collaborating with internal partners to identify and resolve structuring and operational complexities of CPP Investments' legal entity frameworks
    2. Coordinating the formation of new legal entities and addressing legal and governance requirements in support of CPP Investments' structures in partnership with investment and non-investment teams
    3. Providing support for the structuring and transaction closing process (e.g., tracking deal timelines, developing detailed plans with steps and timelines, maintaining meeting minutes, and project-managing the completion of pre-close activities among internal partners)
  2. Deliver ongoing support to maintain and manage CPP Investments' structures post-closing, which includes:
    1. Overseeing and managing legal entity workstreams related to CPP Investments' investment structures, involving collaboration with other internal partners (e.g., supporting legal entity internal recharges, ensuring proper legal entity health, monitoring internal and external debt arrangements)
    2. Managing ongoing operational activities of wholly owned CPP Investments entities to ensure compliance with local legal and regulatory standards
    3. Contributing to materials related to legal entity compliance reporting for senior management during regular compliance review meetings
    4. Leading a team that provides additional day-to-day support in delivering investment structuring and ongoing management of investment structures
    5. Fostering a culture of continuous improvement and innovation in how CPP Investments manages its investment structures
    6. Partnering with other internal CPP Investments stakeholders to engage in cross-functional workstreams and initiatives
    7. Assisting in various special projects and initiatives as CPP Investments works towards enabling its strategic objectives

Candidate Profile

  1. The ideal candidate is enthusiastic about problem-solving, solution-oriented, and adept at managing complex and fast-paced tasks with varying timelines. A self-starter who thrives under pressure is essential. Strong interpersonal and business relationship skills are required, along with a preference for collaborative work across departments.
  2. A minimum of 10 years of relevant work experience (e.g., finance, consulting, private equity, accounting, project management, etc.)
  3. Exceptional verbal and written communication skills
  4. Meticulous attention to detail and consistently high levels of accuracy
  5. Strong analytical and problem-solving capabilities - the ability to identify issues and determine appropriate actions in situations with little or no precedent, requiring analytical and holistic thinking
  6. A continuous learning mindset with a desire to understand CPP Investments' business and recommend innovative solutions to business challenges
  7. A willingness to actively contribute to a positive, highly effective, and collaborative team culture
  8. A professional designation such as CFA, CPA, or CBV is considered an asset
  9. Experience in Mergers & Acquisitions operations is advantageous
  10. Familiarity with low-code/no-code workflow tools (e.g., Mendix) and tools like Tableau or MSCoPilot is beneficial
  11. A proven track record of academic achievement and professional advancement
