The Corporate Securities Law Clerk will play a vital role in supporting the Corporate Secretarial team by managing a wide array of securities compliance tasks. This includes ensuring adherence to regulations set forth by various authorities such as the OSC, SEC, TSX, and NYSE.
Key Responsibilities- Preparation and filing of quarterly and annual continuous disclosure documents, including press releases, financial statements, Form 6-Ks, proxy circulars, AIF/Form 40-F, and other related materials.
- Coordination with external parties (e.g., transfer agents, intermediaries, commercial printers) and internal departments (e.g., Finance, Investor Relations, Tax, Treasury, Marketing, and Operating Groups) regarding compliance matters.
- Assistance with equity compensation administration, including DSUs, RSUs, PSUs, and stock options.
- General corporate and commercial Law Clerk duties, such as maintaining minute books, completing provincial and state filings, and keeping corporate records (GEMs).
Education: Community College Diploma or Certificate in Legal Administration or Law Clerk.
Experience: A minimum of 5 years of relevant experience, ideally within a sophisticated public company or a recognized law firm.
Skills: Strong understanding of stock exchange and securities commission requirements, excellent verbal and written communication skills, and a high level of organization with exceptional attention to detail.
Ability to work independently and effectively prioritize workload. Familiarity with SEDAR+, EDGAR, SEDI, and TMX LINX platforms, along with Computershare's GEMs database, is essential.
