Job Title: Junior Corporate Law Clerk

We are seeking a highly skilled and detail-oriented Junior Corporate Law Clerk to join our team at Linds & Associates Ltd.

Responsibilities:
  • Manage corporate records, including minute books and the corporate entity database, to ensure accuracy and compliance.
  • Prepare documents for entity formation and dissolution, including annual returns filings in Canada and the U.S.
  • File Canadian securities regulatory filings for public companies on SEDAR, EDGAR, and TSX, including Insider Reporting obligations.
  • Assist with diligence to support acquisitions, dispositions, financings, and corporate restructuring matters.
  • Liaise with internal legal counsel and outside counsel, as well as other internal functional groups.
  • Prepare officer certificates and notarial certificates, and document flows of funds.
  • Assist with corporate disclosure, compliance activities, and regulatory filings.
  • Support treasury teams with bank account opening and KYC requests and requirements.
  • Implement legal policies, processes, and standards, and document related compliance process maps.
  • Maintain entity lists and organizational structure charts, and coordinate quarterly updates with business groups and operating companies.
Requirements:
  • Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario, or qualifying legal experience with an outstanding performance record.
  • 2-4 years of experience as a corporate law clerk, preferably in a law firm or in-house legal department of a large public company.
  • Comfortable with SEDI, SEDAR, EDGAR, and TSX filings, as well as various Canadian and provincial corporate registry on-line and paper filings and searches.
  • Excellent interpersonal skills, ability to work well under pressure, and take ownership in supporting the team.
  • Excellent communication (verbal and written) and organizational skills, with proficiency in MS Word, Excel, PowerPoint, Visio, iManage, and corporate legal records software/database.
