**Job Overview**
Reporting to the General Counsel and Corporate Secretary, the Corporate Legal and Governance Coordinator manages operational and administrative services for the General Counsel & Corporate Secretary and provides a variety of support functions for the Board of Directors and Corporate Legal. This position works closely with the corporate legal team, executive leadership, and cross-function stakeholders to facilitate compliance and support critical legal processes. This position is also responsible for managing all aspects of board meetings and logistics, finance and coordination, analysis, assisting the board in executing its responsibilities efficiently, facilitating communication between members and coordinating various administrative tasks.

This position plays a pivotal role in the seamless functioning of our the Board of Directors and is the primary contact for the Board Resourcing Office, the Crown Agency Resource Office and Public Sector Employees’ Council for annual board remuneration reporting.

**Key Accountabilities**
- Manages logistics and prepares for Board and Board Committee meetings (approximately 30 meetings annually).
- In consultation with the Board Chair and President & CEO, establishes an annual schedule for strategic planning, annual and regular Board and Committee meetings and annual general meeting, ensuring adequate time between meetings for research and preparation.
- Attends all Board and Committee meetings, taking accurate minutes and highlighting decisions, information items and action items ensuring sufficient notes to support proceedings, resolutions and reporting on status of outstanding items.
- Works with the Divisional contacts and the Executive Office in the coordination of submissions for all the Board and Board Committee meetings as well as board member orientation.
- Assists the President & CEO with monitoring and follow-up actions to ensure the fulfillment of Board requests including monitoring and tracking management of issues, contracts, complaints, briefings, correspondence and legal opinions as required.
- Manages the Board budget and undertakes financial forecasting and tracking of the budget.
- Researches Board governance issues and prepares reports or briefing materials, undertaking confidential projects for the Board or Committees (i.e. Board member departure protocol or effective implementation of “in
