**About this Role**:This position will have responsibility for providing support to the Senior Counsel and supporting matters involving corporate governance, domestic and international subsidiary management, compliance, and general litigation. Located in our Toronto, Canada office, this role will support the company across North America and internationally as required.

**Responsibilities**:

- Utilizes a variety of sources such as statutes, recorded judicial decisions, legal articles, and legal codes to research and analyze legal topics.
- Conducts fact-finding, data collection, and analysis used to prepare statements and arguments.
- Corporate Compliance for the Canadian entities.
- General compliance and corporate governance matters, including obtaining notarizations, apostilles, formation documents, certified copies, corporate filings, and other corporate documents.
- Support broader corporate secretary function with governance and other corporate matters, including support and coordination of Board and committee meetings (both with internal stakeholders and with Board members) and other matters including preparation of minutes, shareholder engagement, and corporate recordkeeping.
- Reviews an provides insight into contracts and related documents.
- General corporate support to finance, treasury, tax, and other internal departments on broad range of matters.
- Manages, organizes, and archives documents with software tools and technology.
- Applies specialized legal terminology appropriately in documents.
- Work closely with in-house counsel on general litigation matters, pre-litigation disputes, and related matters.
- Support Senior Counsel on compliance-related matters, including drafting and reviewing of policies, presentations and required disclosures.

**Qualifications & Requirements**:

- Paralegal certificate required.
- Minimum of 5 years' paralegal experience.
- Experience working in-house at a private company.
- Experience with both US and Canadian legal environments is preferred.
- Proficient in Microsoft Office Suite (particularly, Word, EXCEL, PowerPoint, and SharePoint), DocuSign or equivalent, and Adobe Acrobat Pro.
- Excellent written and verbal communication skills, including the ability to communicate with outside counsel, when necessary.
- Strong attention to detail with the ability to analyze and synthesize data.
- Ability to work well both in a team and independently.
