- E-L Financial Corporation Limited is looking to hire a detail oriented, flexible and adaptive Law Clerk who enjoys taking initiative and has excellent communication skills, with a Corporate Law Clerk background and education, this position could be for you As a Law Clerk, reporting to the General Counsel, you will be supporting the General Counsel and CFO in managing the law clerk activities at a family office that operates as a tight knit group of individuals. You will be working with three reporting issuers and several semi-private and private companies.

**What you’ll be working on**:
**General Duties**
- Prepare and file articles and corporate documentation relating to incorporations, organizations, amendments,, short and long form amalgamations, dissolutions governed by the Business Corporations Act (Ontario), Canada Business Corporations Act, and the Corporations Act (Ontario)
- Compose and file annual returns as required by federal and provincial legislation, on behalf of corporations as required
- File documents with various securities commissions, TSX and news wire (such as announcements of financial results, declaration of dividends and other corporate actions)
- Retain records through maintenance of retention schedule, inventory control and destruction of materials as required
- Produce and file routine minute book documentation and filing such as annual meeting materials and preparations, changes in directors/officers/registered office, dividends, share provisions
- Perform banking, custody and securities duties such as opening and maintaining accounts, responding to regular FATCA and KYC update requests, maintaining director and officer IDs, extensive documentation to open and maintain international markets
- Work regularly with BNS, brokers, RBC I&TS, and portfolio managers in international jurisdiction
- Complete other duties as assigned such as compliance and audit related tasks

**Duties: Public Companies**
- Manage and coordinate board meeting activities including preparation and maintenance of annual board questionnaires and minutes, board and committee meeting schedules, preparation and distribution of meeting materials using Diligent Boards
- Assist with and prepare press releases, SEDAR (both timely and continuous disclosure filings), TMXLinx, Ontario Business Registry and Corporations Canada reporting
- Coordinate and organize with the transfer agent for Annual General Meeting preparation, and in regard to dividends and shareholder matters
- Coordinate and organize with subsidiaries and related companies as necessary in regards to disclosure documentation, occasional share purchases and the scheduling of meetings

**Duties: Semi-Private Companies**
- Act as a transfer agent to coordinate share purchases, issue share certificates and maintain ledgers and registers
- Coordinate with various stakeholders such as owners, brokers, custodians and transfer agents in regard to the purchase of shares by affiliated companies

**Duties: Private Companies**
- Incorporate, amend and amalgamate OBCA and CBCA as needed
- Perform corporate records maintenance including annual meeting materials, quarterly dividends, maintenance of registers and ledgers
- Record and maintain annual filings under Corporations Information Act, and CALURA
- Perform a variety of transactions as required such as redemptions, changes to stated capital and estate freeze

**What you’ll need to have**:

- 5+ years of experience as a Corporate Law Clerk
- Successful completion of a post-secondary Law Clerk program
- Membership in good standing with Institute of Law Clerks of Ontario
- Completion of the Institute of Law Clerks of Ontario Certification
- Excellent oral and written communication skills
- Proficient with Adobe Pro and Microsoft Excel and Office
- High attention to detail/accuracy and excellent organizational skills
- Ability to prioritize, meet highly sensitive deadlines, and manage multiple tasks and competing priorities
- Ability to take initiative and work independently under little supervision
- Familiarity with medallion guarantee concept
- Familiarity with SEDAR and TMX Linx
- Flexibility to work outside regular business hours when required and/or necessary
