**Qualifications**:

- All Directors are required to be members of the Corporation.
- Directors must be at least eighteen (18) years of age.
- Knowledge of Canada Not-For-Profit Corporations Act.
- Knowledgeable and skilled in areas of board governance, not-for-profit sector, finance, human resources, risk management and advocacy.
- Good experience having served on similar boards.

- Fundraising/grant writing
- Legal
- Information technology
- Government Relations
- Finance
- Strategic Planning

**The responsibilities of Board Directors are to**:

- Participate jointly with other Board Members in carrying out all Board functions and priorities.
- Know and effectively articulate the mission, vision, goals, policies, and programs of IHSTS.
- Model high participation expectation for Board Members by attending all meetings.
- Chair and/or participate in at least one Board Committee.
- Commit time, thought, and effort to IHSTS.
- Participate in establishing organizational policies.
- Participate in ensuring IHSTS ’s financial accountability and sustainability.
- Participate in hiring and periodic evaluation of the CEO.
- Support and advise the CEO on matters relating to governance and strategy.
- Participate actively in assessing IHSTS ’s performance and setting its strategic goals and objectives.
- Represent IHSTS to the community.

**Reimbursement**:
IHSTS will reimburse Board Members for their service to IHSTS in the form of an annual retainer.

**Duration of Term**:
Director is required to hold office for three (3) consecutive three (3) year terms. After a Director has served three (3) consecutive terms, the individual must cease to be a Director for at least one year before the Director is eligible to be reelected.

**Meetings and time commitment**:
Board Directors are expected to actively participate in four (4) Board meetings and four (4) Committee meetings per calendar year.

**Location of Meetings**:
Meetings are held virtually and/or in-person in Vancouver’s downtown core area.
