**What You Will Do**

Reporting to the General Counsel, Governance & Corporate Secretary, this position is responsible for overseeing and coordinating a variety of administrative and support functions, for the work of the Ducks Unlimited Canada Board of Directors and related committees.

This position also receives requests and guidance from the President of the Board of Directors, the Chair of the Board of Directors, the Chief Executive Officer, and other officers of the Board of Directors.

Key responsibilities include but are not limited to:

- Plans for, attends and guides three out-of-town meetings of the Board of Directors as well as virtual meetings of committees of the Board of Directors, including reviewing and approving related purchase contracts and expenses
- Manages the Board of Directors' meeting schedule, maintains up to date Board Committee calendars and ensures communication to management on key dates and deliverables.
- Maintains records and files of the business of the Board of Directors, including confidential files where necessary.
- Prepares and tracks invoicing of expenses associated with the Board meetings and process payments in alignment with policies and legislative requirements.
- Tracks post-meeting action items and provides status updates and works with members of the Governance / Legal team to manage follow-up reporting to ensure all items are completed reported an responded to in a timely manner.
- Administers the Board of Directors website portal and related materials such as Board of Directors contact information.
- Provides back-up administrative support to the Executive Assistant to the CEO on an as needed basis. Liaises with the President and CEO, Governance Officer, and other members of Executive Management as required.
- Assists in the development of governance documents, policies and procedures for the Board of Directors.

**Requirements**:

- A minimum of 5 years of experience supporting the work of a board of directors or in a comparable role
- Minimum of a diploma in administration or equivalent combination of education and experience
- Governance Professionals of Canada or equivalent designation is considered an asset
- Advanced experience in using Microsoft Office suite of products especially Word, Excel, PowerPoint. Experience with video conferencing software and board communication platforms
- Knowledge of board of directors governance processes and due diligence requirements, including Roberts Rules of Order
- Ability to manage related budgets
- Exceptionally organized and detail oriented with strong written and oral communication skills
- A strong collaborator who works well with all levels of the organization
- High level of professionalism demonstrated by the ability to escalate important issues with solid recommendations
- Experience in the not-for-profit governance sector would be an asset

Salary for this position will commensurate with each individual's education and/or experience as it relates to the position.

**Position Details**:Full-time, Permanent
**Salary Range**:$80,100 - $100,100. Salary is based on a 35-hour work week.
**Location**:Hybrid/Remote within Canada with preference in AB or MB.
