**RESPONSIBILITIES**
- Draft a variety of customer contracts, including software licenses and software-as-a-service subscription agreements using established templates, and monitoring the status of agreements from drafting to execution;
- Draft contract amendments, extensions, renewals, assignment agreements, and additional orders for existing customers using established templates;
- Review and revise Professional Services documents (SOWs, ESOWs, and Change Requests) to conform with document drafting guidelines;
- Review and revise system generated customer contracts;
- Ensure contracts are executed in accordance with company policies and procedures for completeness; facilitate contract execution using an e-signature platform; and follow established contract close out procedures;
- Collaborate with legal counsel as well as internal departments in connection with customer and partner contract matters, including Sales, Professional Services, and Finance;
- May be required to assist with the review and integration of customer and partner contracts from newly acquired companies into Descartes’ existing filing systems and processes;
- Participate in continuous improvement objectives for the department and share key learnings/best practices; and
- Other duties as may be assigned.
**QUALIFICATIONS and SKILLS**
- University or college degree or equivalent working experience. Any equivalent combination of education and experience sufficient to perform the role may be considered.
- Proficient in Microsoft Office (Word, Outlook, SharePoint, Teams, PowerPoint with basic knowledge of Excel).
- Working knowledge of Dynamics 365 (or other equivalent CRM tools), DocuSign, and SAP (or other equivalent ERP systems) would be an asset.
- Excellent drafting skills, a demonstrated ability to analyze and understand contract terms, and strong written and verbal communication skills.
- Detailed-oriented with strong organizational and time management skills that translates into a proven ability to complete work accurately and effectively under tight deadlines while managing multiple competing priorities in a high volume, fast paced environment.
- High level of self-motivation and ability to work with mínimal supervision in a team environment.
- Experience working collaboratively with other departments.
**LOCATION**:This position is a remote opportunity however we may require the employee to come to the Descartes’ head office in Waterloo, Ontario, as needed. #LI-Remote
