**Who we are**:
Intellectual Property Ontario (IPON) is a new provincial agency that will serve as a go-to resource for Intellectual Property (IP) expertise to help researchers and companies maximize the value of their IP, strengthen their capacity to grow and compete in the global market.
**Location**:This role may be based out of the Kitchener or Toronto office.
**Overview**:
IPON's Chief Executive Officer (CEO) is responsible for scaling the agency from its successful startup to becoming a high-profile, high-performance provincial resource dedicated to the advancement of Ontario's intellectual property knowledge, asset pool, capacity, and capability.
The CEO will report to the Chair of the Board (“Chair”) and will interact regularly with the Agency's Board members, Ontario government executives and politicians, the business community, academic and research institutions, and similar organizations across Canada and internationally. The CEO will work under the direction of the Chair to implement policy and operational decisions consistent with Board approved strategy and direction. The CEO will report the Agency's performance results to the Board, through the Chair. The CEO will be responsible for leading the management and administration of the Agency, the supervision of Agency staff, and carrying out the roles and responsibilities assigned by the Board, the _Development Corporations Act_ (DCA), and O. Reg. 4/22 thereunder, the MOU between the Agency and the Ministry of Colleges and Universities, and applicable government directives.
**Responsibilities**:
The Chief Executive Officer is responsible for the management of the day-to-day operations for IPON including:
- Managing the operational, financial, analytical, and administrative affairs of the Agency in accordance with the mandate of the Agency, Treasury Board/Management Board of Cabinet and government directives, accepted business and financial practices, and the MOU between the Agency and the Ministry(ies).
- Ensuring the Agency's compliance with applicable government legislation, directives and policies, and Agency by-laws and policies, including annually attesting to the Chair on the Agency's compliance with mandatory requirements.
- Protecting the legal, financial, fiscal and other interests of the Agency by implementing reasonable measures to ensure the ongoing creation, viability, integrity, preservation and security of all official records created, commissioned or acquired by the Agency, and particularly records that document and support significant business transactions, decisions, events, policies, and programs.
- Translating the strategic goals, objectives and directions of the Board into operational plans and activities in accordance with the Agency's approved business plan.
- Overseeing the implementation and delivery of all Agency services.
- Routinely engaging with industry, both large and small, and emphasizing the importance of IP for its competitive advantage and value to long term sustainability to industry and the province.
- Putting in place a robust and appropriate performance review system, as approved by the Board, to manage the performance of the executive team and Agency staff.
- Ensuring that the Agency has the oversight capacity and an effective oversight framework with supporting policies, procedures, and controls in place for monitoring its management and operations.
- Keeping the Board, through the Chair, informed with respect to risk management, the prudent implementation of policy, and the operations of the Agency.
- Supporting the Chair and Board in meeting its responsibilities, including compliance with all applicable legislation, directives, policies, procedures, and guidelines.
- Carrying out in-year monitoring of the Agency's performance and reporting on results to the Chair and Board.
- Keeping the Ministry and the Chair advised on issues or events that may concern the Minister, the Deputy Minister, and the Chair in the exercise of their responsibilities and about significant matters affecting the Agency's management or operations.
- Working in collaboration with the Chair, seeking support and advice from the Ministry, as appropriate, on Agency management issues.
- Promoting ethical conduct and ensuring that all members of the Agency are familiar with the ethical requirements of the Public Service of Ontario Act, and the regulations and directives made under that Act, including in respect of conflict of interest, political activity, and the protected disclosure of wrongdoing.
- Preparing Agency reports (including but limited to annual reports and business plans) as directed by the Board, and publishing such reports as required.
- Serving as an ambassador and primary spokesperson for the Ministry and the Agency on all IP-related matters be they provincial, national or international.
