Job Summary

As a part of our continued expansion, Top Aces requires the services of a Legal Counsel to join its Dorval Office. The ideal candidate will be a solutions-oriented person, with excellent business acumen, who enjoys working in a fast-paced, team atmosphere and the challenge of a company having complex businesses in Canada, USA, and Germany.

This role provides an opportunity for the Legal Counsel to contribute to the company’s legal strategy, to work with many stakeholders, and to grow as a key internal business partner. You are the perfect candidate if you enjoy being involved in many projects, working in close collaboration with other stakeholders and if you are motivated by making a difference in a fast-growing company.

Essential Duties and Responsibilities:

  • Provide general corporate in-house legal advice and services.
  • Negotiate and draft a variety of commercial agreements, including NDAs, LOIs, Terms Sheets, Supply Agreements, Service Agreements, Teaming Agreements, Leases, etc.
  • Support Business Development Team in responding to RFPs.
  • Prepare negotiation guidelines and ready-to-use standard contracts.
  • Provide legal support to other business partners, such as finance, supply team, business development, and HR team.
  • Liaise with external lawyers in foreign countries.
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in the context of acquisitions, financing, corporate reorganizations, and implementation of policies and processes.
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in her role as Chief Compliance Officer, including compliance with the Quebec French Charter and Quebec Privacy legislation (bill 25).
  • Organize and maintain electronic documentation and records.
  • The role will report directly to the VP Legal Affairs, General Counsel, and Chief Compliance Officer in Dorval (Quebec).

Education and/or Work Experience Requirements:

  • Bachelor of Laws (LLB). Common Law degree a strong asset.
  • 7 years of experience as in-house corporate counsel in a big company having international operations.
  • Strong in commercial law, contract negotiation and drafting.
  • Experience in government contracting a strong asset.
  • Able to work under pressure and meet tight deadlines.
  • Excellent problem solving, business acumen, analytical and organizational skills.
  • Self-driven and resourceful.
  • Excellent interpersonal and communication skills.
  • Excellent writing skills in English; Knowledge of other foreign languages would be an asset (German).
  • Proactive, creative, and quick learner.
  • Excellent working knowledge of MS Office (Word, PowerPoint, SharePoint, and Teams).
