Position Summary
As an Executive and Legal Assistant, you will provide comprehensive support to multiple executives across various entities, manage corporate correspondence, and assist in project follow-ups. You’ll handle corporate filings, maintain statutory representations, and update corporate records. Your role also includes preparing various agreements, maintaining organizational charts, and managing document filing. This role requires corporate legal knowledge, excellent bilingual communication skills, and proficiency in Microsoft Office Suite. Your ability to work autonomously, prioritize tasks, and maintain a professional attitude will be key to success in this role.

Main Responsibilities
Serve as an Executive Assistant to multiple Executives across various entities of the Jesta Group.
Prepare and respond to correspondence for various entities of the Jesta Group.
Assist in the follow-up of files and projects.
Coordinate meeting requests.
Maintain spreadsheets related to corporate entities.
Set up bank accounts for various entities.
Coordinate the signatures required for all documentation and agreements.
Prepare all License/Service and Support Agreements for various prospects.
Prepare Agreements for Third Party Software, Alliance, Non-Disclosure, etc.
Follow up on signed Agreements and ensure countersignature of all Agreements.
Maintain the annual statutory representation of all the various entities (Canada and USA).
Maintain all corporate filings (Registraire Entreprise; Canada Revenue Agency, including all annual filings in the US) regarding any corporate changes (i.e., Directors/Officers, change of address).
Update the Corporate Minutes Books.
Update spreadsheets that include any and all changes or additions registered with the Governments regarding information pertaining to corporate entities.
Maintain all resolutions, annual returns, and any filings with the Government for various other entities of the JESTA GROUP.
Maintain organizational charts for various other entities of the JESTA GROUP (on a corporate level).
Prepare and file all documents and maintain record filing (hardcopy and electronic version).

Requirements
3 to 5 years of experience as an Legal Assistant or related field.
Corporate legal knowledge and experience required.
Bilingualism is a must: excellent oral and written communication skills (English and French).
Excellent knowledge of Microsoft Word, Excel, PowerPoint, and Visio.
Hands-on experience in updating corporate records with the Governments, including updating and maintaining Minute Books.
Hands-on experience with various corporate filings, officer certifications, consent votes, board meetings, and other corporate procedures.
Familiarity with government websites (i.e., Strategis, Entreprises Registraire).

Résumé du poste
En tant qu’assistant exécutif et juridique, vous apporterez un soutien complet à plusieurs cadres à travers diverses entités, gérerez la correspondance d’entreprise et assisterez dans le suivi des projets. Vous gérerez les dépôts d’entreprise, maintiendrez les représentations statutaires et mettrez à jour les registres d’entreprise. Votre rôle comprend également la préparation de divers accords, la maintenance des organigrammes et la gestion du dépôt de documents. Ce poste nécessite une connaissance et une expérience juridiques d’entreprise, d’excellentes compétences en communication bilingue et une maîtrise de la suite Microsoft Office. Votre capacité à travailler de manière autonome, à prioriser les tâches et à maintenir une attitude professionnelle sera la clé de votre succès dans ce rôle.

Responsabilités principales
Servir d’assistant exécutif à plusieurs cadres à travers diverses entités du groupe Jesta.
Préparer et répondre à la correspondance pour diverses entités du groupe Jesta.
Assister dans le suivi des dossiers et des projets.
Coordonner les demandes de réunion.
Maintenir des tableaux de bord liés aux entités d’entreprise.
Mettre en place des comptes bancaires pour diverses entités.
Coordonner les signatures requises pour toute la documentation et les accords.
Préparer tous les accords de licence/service et de support pour divers prospects.
Préparer des accords pour des logiciels tiers, des alliances, des non-divulgations, etc.
Suivre les accords signés et assurer la contre-signature de tous les accords.
Maintenir la représentation statutaire annuelle de toutes les diverses entités (Canada et USA).
Maintenir tous les dépôts d’entreprise (Registraire Entreprise; Agence du revenu du Canada, y compris tous les dépôts annuels aux États-Unis) concernant tout changement d’entreprise (c’est-à-dire, directeurs/officiers, changement d’adresse).
Mettre à jour les livres de procès-verbaux d’entreprise.
Mettre à jour les tableaux de bord qui incluent tous les changements ou ajouts enregistrés auprès des gouvernements concernant les informations relatives aux entités d’entreprise.
Maintenir toutes les résolutions, les retours annuels et tout dépôt auprès du gouvernement pour diverses autres entités du GROUPE JESTA.
Maintenir les organigrammes pour diverses autres entités du GROUPE JESTA (au niveau de l’entreprise).
Préparer et déposer tous les documents et maintenir le dépôt de dossiers (version papier et électronique).
Exigences
3 à 5 ans d'expérience en tant qu'assistant juridique ou dans un domaine similaire.
Connaissance et expérience juridiques d’entreprise requises.
Le bilinguisme est indispensable : excellentes compétences en communication orale et écrite (anglais et français).
Excellente connaissance de Microsoft Word, Excel, PowerPoint et Visio.
Expérience pratique de la mise à jour des registres d’entreprise auprès des gouvernements, y compris la mise à jour et la maintenance des livres de procès-verbaux.
Expérience pratique de divers dépôts d’entreprise, certifications d’officiers, votes de consentement, réunions du conseil d’administration et autres procédures d’entreprise.
Familiarité avec les sites web gouvernementaux (c’est-à-dire, Strategis, Entreprises Registraire).
