Position Summary:

The position Corporate Counsel - Canada provides strategic legal advice and opinions on a diverse range of organizational issues with a particular focus on commercial / construction services contract interpretation and negotiation, litigation and claims management, employment and labor issues, privacy compliance and commercial leasing. This role may also be responsible for providing leadership and guidance to contract professionals in the future.

We are looking for a lawyer that enjoys a broad range of challenges, that can easily relate to employees of all levels of our organization and who can also interact competently in negotiations with customers and third parties. The right candidate will be a contributing member of a busy legal team comprised of contracts professionals, paralegals, legal assistants, and others. Resourcefulness, resiliency, efficiency, professionalism, and a great work ethic will be rewarded.

This position can be a hybrid role out of any of our Canadian offices.

Responsibilities:

Support corporate and divisional legal demands by:

  1. Providing legal advice and opinions on a diverse range of matters;
  2. Acting as the legal lead on matters of local operational concern;
  3. Supporting merger and acquisition activities;
  4. Addressing preparation and non-compliance with restrictive covenants;
  5. Resolving pending or threatened disputes between the company and third parties;
  6. Assisting in collection of unpaid debts;
  7. Consulting and advising management on highly confidential and sensitive matters;
  8. Performing discovery and due diligence of various electronically stored or physical records in preparation for litigation, transactional work, financing, or M&A transactions.

Support complex commercial contract activity by:

  1. Drafting, reviewing and finalizing complex commercial contracts;
  2. Providing direction to contract managers with respect to their contract drafting skills;
  3. Addressing specific areas of contractual dispute with client legal representatives;
  4. Drafting responses and memoranda of understanding and other legal documents;
  5. Sharing technical, commercial and contractual expertise with team members to ensure bid preparation is conducted in an efficient manner.

Proactively ensuring mitigation of risk by:

  1. Providing best practice recommendations regarding corporate compliance;
  2. Working with the senior leadership team and supporting the General Counsel to develop risk avoidance and mitigation strategies and organizational policies, procedures and standards;
  3. At the direction of General Counsel, assessing and coordinating management of litigation and providing instruction to external counsel as required;
  4. Identifying and evaluating potential and actual legal issues associated with business initiatives, particularly those with high visibility and risk, and developing recommendations to alleviate risk and achieve business objectives.
Requirements:

In addition to an undergraduate degree, the position requires a Law Degree and membership, in good standing, in the applicable provincial Law Society. A minimum of five (5) years’ experience as a lawyer, with previous in-house or business experience considered an asset. Experience with industrial service companies, industrial or construction issues, either through litigation or contract negotiation is preferred.

The position requires understanding and knowledge in the following areas:

  1. Demonstrated understanding of contract law and proficiency in the interpretation and negotiation of contract terms and conditions.
  2. Broad knowledge of, and experience in, a diverse range of legal specialties (employment, labour, leasing, ethics and compliance, claims management, privacy, insurance).
  3. The ability to effectively manage multiple litigation files with insurers and external counsel to a successful and timely resolution.
  4. M&A experience is considered an asset.
  5. The ability to efficiently manage the use of outside counsel as necessary.

  2. Proven ability to work as a partner with in-house business clients;
  3. Ability to work both independently and as a value-add member of an integrated business-legal team;
  4. Highly organized with the ability to manage multiple projects and priorities concurrently and within tight deadlines;
  5. Strong oral and written communication skills, with the ability to translate legal concepts into practical advice;
  6. Flexible working style that is highly adaptable to an environment in constant flux with competing and unpredictable priorities;
  7. Service and results-driven, with the ability to build trust with a broad network of professional colleagues and team members;
  8. Great interpersonal skills and high emotional intelligence.
