The RoleWe are seeking an additional In-House Counsel in our Ottawa office to cover an 18-month Maternity Leave. This position may be extended or made permanent.
Key Responsibilities- Negotiate and Draft Commercial Agreements
We are looking for a skilled negotiator to draft and negotiate commercial agreements, including master software and services agreements, partnership and vendor agreements, non-disclosure agreements, and terms of use.
Review and Respond to Requests for ProposalThe ideal candidate will review and assist in responding to requests for proposal, ensuring our company's interests are represented.
Provide Legal Support and StrategiesAs a member of our team, you will provide support to management and other departmental groups in developing legal strategies and solutions.
Identify Legal and Other RisksYou will help identify legal and other risks associated with company initiatives, ensuring our business remains compliant and secure.
Research and Advise on Various Areas of LawThe successful candidate will research and advise on intellectual property, labour and employment, compliance, corporate governance, and other areas of law.
Liaise with External CounselYou will liaise with external counsel as necessary, ensuring our company's interests are represented.
Assist with Other Legal Department/Company ProjectsYou will provide assistance with other legal department/company projects from time to time.
Desired Qualifications and Experiences- LL.B. or J.D. Degree
A degree in law is required.
Good Standing with the Law Society of OntarioThe ideal candidate will be in good standing with the Law Society of Ontario.
Experience in Drafting and Negotiating Transactional DocumentsAt least 3-5 years' experience drafting and negotiating transactional documents in the software industry is required.
Experience Working with Customers in the United StatesExperience working with customers located in the United States is an asset.
Ability to Work with Internal StakeholdersThe successful candidate will be able to work with internal stakeholders at all levels to achieve a common goal.
Experience Working in an In-House EnvironmentExperience working in an in-house environment, preferably in the software industry, is an asset.
Ability to Comprehend and Investigate Vague ProblemsThe ideal candidate will be able to comprehend and investigate vague problems, propose innovative solutions, and execute them efficiently.
Experience Working with Government Bodies and Public Safety AgenciesExperience working with government bodies and public safety agencies is an asset.
