Role Summary:
The Legal Director plays a vital role in managing and mitigating legal risk across our operations. You will provide expert legal advice to executive leadership and operational teams, draft, review, and negotiate complex contracts, manage disputes, litigation, claims, and regulatory matters, and ensure compliance with all relevant legislation and industry standards. You will serve as a strategic partner, proactively identifying legal challenges and offering pragmatic solutions that support business objectives.
You will be expected to support APi Group Canada companies (Chubb, SMC, Vipond Inc.).

Job Responsibilities:
- Legal Advice and Counseling:
Provide sound, practical legal advice to leadership and operational teams on all areas impacting the business, including construction law, fire and security system regulations, contract law, labour and employment law, health and safety, intellectual property, immigration, and data privacy. - Contract Management:
Draft, review, and negotiate a wide range of commercial agreements such as building services' contracts, supplier/vendor contracts, subcontracts, and NDAs; train operational teams on reviewing contracts. - Labour and Employment:
Draft and review agreements and templates during a teammate's employment cycle (employment, separation and confidentiality); provide guidance and advice on labour relations and collective bargaining, including the interpretation and administration of union contracts, grievance procedures, and negotiations with union representatives; provide counsel to leaders and People Team on topics such as harassment/discrimination prevention, accommodations, and regulatory changes. - Regulatory Compliance:
Stay current on applicable laws, statutory and regulatory requirements; develop and implement policies and training to ensure ongoing compliance. - Dispute Management:
Manage and resolve complex disputes and litigation—including commercial disputes, insurance claims, and employment matters—liaising with the Risk Management team and managing external counsel where necessary. - Risk Management:
Advise on risk exposure and mitigation strategies - review and update standard contract templates to align with changes in law and best practices. - Corporate Governance
: Support the company with secretarial matters, including corporate entity management, corporate resolutions, policy drafting, and ensuring sound corporate governance practices. - Administrative Functions:
Perform administrative and management functions related to the in-house practice of law. - Stakeholder Engagement
: Develop effective relationships with internal clients, senior management, and external advisors to support business needs and ensure consistent application of company standards. - Team Leadership:
Promote a culture of safety, professionalism, and adherence to company policies - contribute to process improvements and best practice sharing across the legal function and broader business.
Qualifications & Experience:
- Education:
Juris Doctor (JD) or Bachelor of Laws (LLB) degree. Member in good standing of a Canadian provincial bar (Ontario preferred). - Experience:
Minimum 10+ years' progressive experience, preferably including in-house legal roles within the building services or construction sectors. - Languages:
English (required) – French (required).
Skills Required:
1. Legal Expertise and Technical Knowledge
- Commercial Law:
Deep and demonstrable understanding of construction law, commercial agreements, and relevant statutory frameworks (such as safety and environmental regulations). - Contract Drafting and Negotiation:
Expertise in drafting, reviewing, and negotiating a wide range of complex contracts (including construction, maintenance, service-level, supplier, and vendor agreements). - Labour and Employment Law:
In-depth expertise in labour and employment law, with the ability to advise, negotiate, and manage compliance and employment-related matters. - Dispute Resolution:
Strong background in managing disputes and litigation/claims relevant to the building services industry, including claims management, arbitration, mediation, and litigation, either in-house or through external counsel. - Risk Management
: Ability to identify, assess, and mitigate legal and commercial risks across multiple projects and business units; experience with insurance matters and claims is advantageous. - Regulatory Compliance:
Comprehensive knowledge of local, state, and federal legislation affecting building services, including health and safety laws, labour and employment law, data protection, and environmental regulations.

Skilled negotiator, adept at balancing multiple interests, finding win-win solutions, and managing challenging discussions with internal and external parties.

Familiarity with legal research databases, contract lifecycle management software, and document management systems. - IT Literacy:
Proficiency with common productivity and collaboration tools (e.g., Microsoft Office Suite, Teams, SharePoint, AI platforms).
