Position

Jonas Software (Jonas) is seeking an energetic, independent and detail-oriented legal counsel. Working closely with Jonas' Managing Counsel, this position multi-faceted role will be principally involved in M&A activity with additional involvement in the negotiation and administration of various contracts, including software license, software maintenance and distribution, sub-contractor, and non-disclosure agreements, assisting with overseeing and resolving contractual disputes and assisting with Jonas' corporate development program. The candidate will also be involved in various data privacy and data security matters, and should be comfortable managing outside counsel.

Success in complex M&A transactions within an information technology environment, and the ability to assess and articulate risks associated with the transaction and other business opportunities are essential. Potential to grow into the role of General Counsel for one of Jonas' portfolio groups as the company continues to expand.

JOB RESPONSIBILITIES:

Working in a fast-paced transactional environment with limited supervision, the Legal Counsel will undertake the roles and responsibilities of this position in a manner consistent with the company's procedures and guidelines while exercising independent judgment.  The position also requires an articulate, self-motivated individual who possesses strong organizational skills and will pay close attention to detail, has the ability to make high quality decisions, along with excellent interpersonal skills to deal with people at all levels of the company, including salespeople and business managers.  Strong verbal and written communications skills are also required in this position. 

JOB QUALIFICATIONS:

• A member in good standing with the Law Society of Ontario

• 2-4 years of business and corporate legal experience acquired at a full service law firm and/or as in-house counsel within the software technology Industry

• Relevant M&A experience including drafting and reviewing purchase agreements, disclosure schedules, letters of intent and non-disclosure agreements

• Experience supporting a global and/or public company, combined with a private equity mindset is an asset

• Ability to both set and shift priorities in a rapidly changing environment while still ensuring deadlines are met is critical

• Performance and solutions-driven with perseverance, and the ability to maintain composure in all situations, the ideal candidate will understand Jonas's value drivers, is effectively able to bring focus where it is needed and to deliver on commitments in a time sensitive manner

• Authentic, genuine and team oriented, the ideal candidate will be quick to establish peer relationships built on trust and credibility with Jonas Software's executive management team and the executive management of each of its operating divisions

• Highly organized with the capability to consistently deliver on complex projects without anything falling between the cracks

• Positive team-player attitude and ability to motivate team members towards a common goal
