**Responsibilities**:

- Assist in handling litigation matters, customer complaints, regulatory matters, and insurance claims
- Provide paralegal support, including legal research, document preparation, and case management
- Draft, review and assist the legal team in negotiating sales and services agreements for Canadian and US clients
- Collaborate with legal and business/operational departments to keep our contracting process in top-notch shape.
- Update company standard forms and templates, and maintain a precedent database to keep us ahead of the curve
- Work closely with the sales operations team to maintain and continuously improve contract administration processes
- Assist in preparing annual filings, resolutions and other documents, as needed, including annual returns, annual shareholder resolutions and officer certificates
- Manage record keeping for all company records, including maintaining and updating the company’s minute books

- Support the legal team in other tasks, as needed

**Qualifications**:

- 2+ years experience in contracts administration or as a paralegal, law clerk, legal assistant or related roles, plus a passion for all things legal
- Paralegal certification or diploma is an asset
- Highly proficient in MS Excel, MS Word, MS PowerPoint and Adobe Acrobat and experience using legal document comparison software
- Experience drafting standard form commercial agreements and/or litigation documents (e.g. statements of defence, motions, briefs, affidavits, settlements, releases)
- Experience with corporate filings, maintaining corporate records and Microsoft Power Automate tools would be considered an asset
- Strong work ethic and analytical skills
- Excellent written and verbal communication skills

- An exceptional knack for triaging and the art of prioritization - you are able to quickly pivot from collaborating with the Sales team to drafting contracts and back again. Our to-do lists are always evolving.
