**INTRODUCTION**

Corporate Governance Specialist and Executive Assistant to the Chief Operating Office of Know Company Inc.

Reporting to the Chief Operating Officer of Know Company Inc., this person will support the COO by managing activities related to corporate governance for Know Company Inc., as well as the related subsidiaries, and the employee ownership group at Knower Capital Inc. The role works closely with the COO and is also responsible for many of the administrative tasks and support projects that are required for the COO to effectively and efficiently fulfill the duties of that role.

LoKnow uses a hybrid model, where you are able to work from home, the office, or a combination of both for this role. This position will be based in Calgary and will require location-specific tasks to be completed.

**Responsibilities**
- Organizes, attends, and facilitates board meetings, committee meetings, and general meetings, including preparing agendas, distributing materials, and recording meeting minutes.
- Coordinates with our external legal team to update and maintain the company's corporate records, including minute books, shareholder registers, and statutory filings.
- Supports the board, COO, and executive team in developing, implementing, and maintaining and complying with applicable laws, regulations, and best practices related to corporate governance and reporting.
- Advises the board of directors and COO on corporate governance best practices, legal and regulatory requirements, and potential risks.
- Helps plan and coordinate communication with shareholders, regulators, and other stakeholders on behalf of the company, as required.
- Assists in the onboarding and orientation of new board members, providing them with necessary information and resources to fulfill their duties effectively.
- Monitors changes in legislation and regulations affecting the company and recommends actions to ensure ongoing compliance and improvement, ensuring that the organization’s stakeholders adhere to the established corporate governance framework.
- Oversees the company's corporate governance framework and policies, as the organization grows, recommending improvements as necessary.
- Collaborates with other departments, such as legal, finance, and human resources, to ensure that the company's governance and compliance requirements are met.
- Serves as the primary point of contact for communication between the board of directors, management, and other stakeholders on governance-related matters.
- Assists executives in maintaining relationships with external regulatory bodies and auditors, and ensures timely and accurate reporting of corporate governance activities.
- Supports oversight of the organization's compliance program, including identifying potential areas of risk, implementing risk mitigation strategies, and supporting the conducting periodic compliance audits.
- Provides training and support to board members, management, and employees on corporate governance and compliance matters.
- Manages administrative tasks to help keep the COO organized such as calendar management, logistics support, and other professional administrative functions.

**Qualifications**
- Education in legal administration, business administration, finance, or a related field.
- 3-5 years of experience in corporate governance, compliance, or a related field.
- In-depth knowledge of applicable laws, regulations, and best practices related to corporate governance and compliance.
- Strong analytical, problem-solving, and decision-making skills, with the ability to assess complex situations and provide practical solutions.
- Excellent communication and interpersonal skills, with the ability to work effectively with individuals at all levels of the organization.
- High level of integrity, professionalism, and discretion, with a commitment to maintaining the highest standards of corporate governance and ethical conduct.

**What You Can Expect From Us**
- Annual Base Compensation of $57,000 - 75,000
