THE ROLE IN A NUTSHELL
The Director, Board Affairs & Corporate Governance is accountable for providing expertise and support on corporate secretarial and governance matters to the Boards and entities within GreenShield. Reporting to the Vice President, Legal and General Counsel, you will be a member of the Board Affairs/Corporate Secretary’s office supporting the work of GreenShield’s boards and their committees. In addition, this role is accountable for effectively supporting the corporate governance of GreenShield’s entities.
THIS ROLE WILL BE RESPONSIBLE FOR- The position will have regular interaction with the board directors and senior management.
- Assisting the GreenShield boards: setting agendas; planning, organizing, and coordinating board and committee meetings; maintaining forward agendas; taking minutes; maintaining corporate minute books and records; overseeing board evaluations of effectiveness; supporting the recruiting of new directors; organizing orientation and training for new directors and key officers; coordinating and organizing information flow to directors; and meeting the information requirements of the boards.
- Coordinating Annual Meetings and overseeing all associated governance related matters so that meetings are held in accordance with company bylaws.
- Oversight of member management and engagement related activities.
- Overseeing entity management, including the maintenance of corporate and regulatory documents, records, minute books, and the filing of corporate and regulatory reports across Canada, as required, as well as with regulatory authorities.
- Providing support to the Board Chair of each GreenShield Board to fulfill the chair mandate and serve as a principal liaison and conduit for information between the Board Chair(s), the directors and senior executives.
- Responding to all inquiries and sourcing solutions to issues on board protocols, board and committee meetings, directorships orientation and training of new directors and senior officers, preparation of documentation and other matters pertaining to board activities and corporate governance generally.
- Developing and establishing policies, guidelines or procedures that allow the GreenShield boards to carry out knowledgeable and independent oversight and fulfill their fiduciary duty.
- Overseeing and developing policies, processes, and guidelines to support the efficient and effective governance of GreenShield’s entities.
- Lead and/or provide support in the creation, dissolution, and reorganization of GreenShield entities, and effectively support acquisition integration.
- In depth knowledge of corporate secretarial and corporate governance practices with experience gained at a major law firm, financial institution, or equivalent experience as Corporate Secretary or Assistant Corporate Secretary.
- Familiarity with corporate legislation (Canada Not for Profit Act, and/or Insurance Companies Act) would be an asset.
- Experience with drafting and complying with corporate bylaws.
- Highly organized, proactive, detailed, independent, and the ability to prioritize and manage multiple tasks with challenging deadlines in a fast-paced environment.
- Superior written and verbal communication skills.
- Ability to engage with sophisticated stakeholders internally and externally, including external board directors.
- Qualified law clerk, paralegal with corporate services experience, corporate governance expert.
