Job Summary:

Axiom is seeking a highly skilled Corporate Governance Paralegal to join our team. The successful candidate will have extensive experience in corporate governance, with a strong understanding of corporate governance principles and best practices.

Key Responsibilities:

  • Assist clients' legal teams in drafting and reviewing corporate governance documents, including board resolutions, bylaws, policies, and charters.
  • Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance.
  • Maintain and update corporate records, including board and committee minutes, shareholder records, and other governance-related documents.
  • Assist with the preparation and filing of corporate documents, including annual reports, proxy statements, and SEC filings.

Requirements:

  • 10+ years of corporate governance experience gained working as a paralegal in a large corporate in-house environment.
  • Strong understanding of corporate governance principles and best practices and familiarity with corporate filings, SEC regulations, and compliance requirements.
  • Proficient in legal research tools, databases, and related software.
  • Open to working in an engagement-based role, seconded to clients on a temporary basis.
  • Ability to work remotely, located in the Greater Toronto Area.
