About the Role

We are seeking a highly skilled and experienced Law Clerk to join our Corporate Governance team at OMERS. As a key member of our team, you will be responsible for providing support to our corporate secretariat function, including the preparation of documents, filings, and other corporate governance activities.

Key Responsibilities

  • Prepare and file articles, by-laws, minutes, and resolutions, registers, and ledgers, share certificates
  • Draft forms of resolutions and consents supporting corporate actions and flow of funds memoranda
  • Stay current on legislative changes and revise precedents and technical procedures checklists to ensure compliance with new legislation and changes to internal processes
  • Be responsible for the completion and ongoing maintenance of extra-provincial licenses, annual returns, updating and/or renewing business name registrations, required government filings
  • Update and maintain information regarding entities in corporate secretariat databases
  • Provide support to transaction teams by responding to KYC requests in a timely way
  • Assist with project-based tasks – e.g. dissolutions, amalgamations
  • Assist internal clients including members of Finance and Tax, with respect to general corporate matters
  • Maintain relationships with external corporate secretariat functions associated with various Infrastructure investments
  • Oversee completeness and accuracy of execution documents

Requirements

  • Post-secondary education (Law Clerk diploma, Legal diploma or equivalent - will consider equivalent international designations)
  • 4-6 years of related experience in a law firm or in-house legal department, preferably at a large multinational company
  • Corporate governance experience related to corporations, limited partnerships, and trusts as well as other forms of business associations in Canada
  • Demonstrated knowledge of laws/legislation, legal terminology, forms, and documents related to Corporate practice area
  • Demonstrated experience handling legal/regulatory filings
  • Demonstrated accountability, holding self and others to high standards
  • Demonstrated ability to work independently
  • Demonstrated organizational and time management skills
  • Sound judgement, analytical thinking, and problem-solving skills with ability to assess situations, interpret, and apply legislation and adopt an effective course of action
  • Excellent communication skills, written and verbal
  • Strong attention to detail
  • Demonstrated ability to meet deadlines and to work with minimal supervision
  • High proficiency in MS Word and Excel
  • Broad and in-depth knowledge of relevant legal references and their content
