Job Summary

We are seeking a highly skilled Senior Corporate Law Clerk to join our team at EStaffSearch in Toronto. This is an exceptional opportunity for a seasoned Law Clerk looking to take their career to the next level.

In this role, you will be working closely with lawyers, clients, Paralegals, and legal administrative assistants across Canada to deliver high-quality legal services.

About the Role
  • You will be responsible for Ontario and Federal incorporations, amendments, amalgamations, continuances, and dissolutions.
  • Conduct minute book reviews and draft required updating documents.
  • Assist with complex corporate transactions and reorganizations, including drafting, organizing, and finalizing transaction documents and closing agendas, assisting with closings, and preparing closing books.
  • Regular maintenance of corporations, including preparation of documents relating to annual meetings/proceedings and associated filings.
  • Ensure compliance with relevant statutory requirements and provide input on corporate compliance matters.
  • Provide input on checklists and precedents.
  • Update and maintain information in our corporate database.
  • Assist with mentoring and training of junior department members.
Core Skills & Experience
  • Excellent verbal and written communication skills.
  • A minimum of seven to ten years of Law Clerk experience at the intermediate level or higher and extensive experience with complex corporate transactions and reorganizations.
  • Strong organizational and interpersonal skills, detail-oriented, able to effectively meet deadlines, work well in a team setting, and provide an exceptional level of client service.
  • Evolving technology skills, with strong proficiency in Microsoft Word and Excel, prior experience with a corporate database product (preferably cloud-based), and iManage, Intapp Time, or similar document management and timekeeping software.
Compensation Package

We offer an excellent compensation package, including a salary range of $85,000 - $115,000 per annum, depending on experience, as well as a hybrid work model, opportunities for growth and development, and more.
