Job Summary:

The Senior Corporate Counsel will be responsible for overseeing all legal matters related to our operations, strategic initiatives, and corporate governance. This role will play a pivotal part in shaping our legal strategy, ensuring compliance with regulations, and safeguarding our business interests.

Key Responsibilities:

  • Draft and review contracts, including commercial agreements, licensing agreements, and vendor contracts.
  • Negotiate complex transactions, such as mergers and acquisitions, strategic partnerships, and financing agreements.
  • Advise on intellectual property strategies to protect and leverage our technological innovations and assets.
  • Manage the company's intellectual property portfolio, including trademarks, patents, and copyrights.
  • Manage litigation matters, working closely with external counsel as necessary.
  • Implement strategies to mitigate legal risks and resolve disputes efficiently and effectively.
  • Provide expert legal advice on corporate governance, compliance, risk management, and contractual matters.
  • Monitor changes in relevant laws and regulations to ensure ongoing compliance across all business functions.
  • Implement policies and procedures to enhance risk management across the organization.
  • Collaborate effectively with cross-functional teams to support business objectives while managing legal risks.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school; admitted to practice law in Canada and/or the U.S.
  • Minimum of 10 years of legal experience, with prior experience as a Senior Corporate Counsel in a technology company or a Private Equity backed environment.
  • Strong understanding of corporate law, commercial transactions, intellectual property, and regulatory compliance.
  • Proven track record in managing complex legal matters, including mergers and acquisitions, corporate governance, and litigation.

Preferred Qualifications:

  • Experience with human resources and labor relations.
  • Experience with contract management.

Skills:

  • Excellent communication, negotiation, and interpersonal skills, with the ability to influence and collaborate effectively at all levels of the organization.
  • Strategic thinker with the ability to provide practical and business-oriented legal advice.
  • Demonstrated ability to work independently, manage multiple projects simultaneously, and thrive in a fast-paced environment.
  • Strong contract management knowledge
