Corporate Governance Counsel

Reporting to the Corporate Secretary and Associate General Counsel, the Legal Counsel and Assistant Corporate Secretary plays a pivotal role in supporting the corporate legal team, particularly the office of the Corporate Secretary. In the capacity of Assistant Corporate Secretary, you will collaborate closely with the Corporate Secretary to fulfill responsibilities associated with effective governance for the Board and the Company, including its subsidiaries. This involves maintaining governance best practices, aiding in the preparation and distribution of Board and Committee meeting materials, including resolutions, and assisting with all post-meeting filings.
As Legal Counsel, you will provide legal support and guidance to various corporate functions such as Investor Relations, Marketing, Human Resources, IT, Tax, Treasury, and Finance. Your contributions will include assisting in the preparation and review of several corporate reports, including the annual information form, sustainability report, and investor presentation report. You will also provide legal assistance in fulfilling all annual and quarterly continuous disclosure obligations under applicable Canadian and United States securities laws, as well as the rules of the TSX and NYSE.
Key Responsibilities- Assisting in the preparation of continuous disclosure and regulatory compliance documents and filings.
- Supporting the technology utilized for preparing and distributing materials, conducting meetings, and facilitating other board and committee activities while ensuring privacy and confidentiality.
- Contributing to the Corporation's sustainability initiatives by participating in the cross-regional and cross-functional sustainability committee and coordinating the annual sustainability report.
- Monitoring corporate governance developments and ensuring compliance with evolving regulatory requirements.
- Preparing agendas for board and committee meetings; reviewing, preparing, and distributing board materials, including briefs and background information.
- Providing transactional support related to Corporate and Regional mandates, including negotiations with third-party service providers.
- Assisting the Corporate Secretary in maintaining compliance with applicable securities regulations.
- Supporting subsidiary board meetings and regulatory compliance matters.
- Drafting corporate legal documents, including non-disclosure agreements, letters of direction, corporate resolutions, and instruments of transfer.
- Facilitating filings for CBCA, extra provincial registrations, SEDAR, SEDI, TSX, and NYSE; supporting filings in foreign jurisdictions as necessary.
- Maintaining corporate minute book records and digital files for the Company and its global subsidiaries.
- Supporting the Global Legal Team as directed and participating in monthly meetings.
- A Canadian common law degree or equivalent, with membership in good standing with the Law Society of Alberta.
- 2 to 5 years of experience in a law firm focused on corporate/corporate securities practice or equivalent in-house experience, preferably with a public company.
- Familiarity with Canadian and US corporate securities laws and the rules of the TSX and NYSE is advantageous.
- Interest and experience in advising on Sustainability & ESG matters.
- Proficiency in computer programs such as Word, Excel, and Adobe.
- Ability to work collaboratively within a cross-functional team environment.
- Strong organizational skills, attention to detail, and ability to manage time effectively.
- A collaborative team player eager to contribute to the Corporate legal team and the broader global legal team.
- Excellent written and verbal communication skills.
