Job Description:

We are seeking a highly skilled Senior Corporate Securities Lawyer to join our Treasury and Corporate Securities team in Toronto. As a key member of our team, you will provide expert advice on public reporting and disclosure matters for the enterprise, as well as support the Bank's wholesale funding transactions.

Responsibilities:

  • Provide research, advice, and oversight in connection with public reporting and disclosure obligations and goals for business lines, functions, and the enterprise as a whole.
  • Prepare and/or review key public disclosure documents for the Bank.
  • Act as legal lead on a variety of capital markets transactions and securities issuances on behalf of the Bank.
  • Contribute to high-priority special projects and other Legal Department initiatives.
  • Assist with knowledge management in respect of core financial disclosure advice and other knowledge assets.
  • Provide oversight of external counsel performing work in areas of responsibility.
  • Assist with other duties and tasks of the Treasury and Corporate Securities team as needed.

Requirements:

  • A law degree from an accredited law school and are qualified to practice law in Canada.
  • At least three years of experience practicing law in private practice or in-house roles, preferably with broad corporate securities law experience.
  • Familiarity with the Canadian securities law disclosure regime, and experience providing advice to publicly listed clients on core reporting documents.
  • Experience working on a variety of capital markets transactions, including public offerings and private placements.
  • Contribute to high-priority TD Legal Department initiatives.
  • Build and maintain collaborative working relationships with internal and external business partners.
  • Superior verbal and written communication skills and ability to provide advice in a clear, concise, and time-sensitive manner.
  • Strong organization skills and ability to work in a fast-paced, detail-oriented environment.
  • Ability to think independently and critically, and make risk-based decisions.
  • Ability to stay energized, productive, and focused in the face of challenges.
  • Ability to be 'solutions-oriented', have excellent business and legal judgment.
  • Ability to work independently as well as part of a team.
  • Ability to work effectively with external counsel.
