POSITION OVERVIEW
We are in search of a Corporate and Real Estate Legal Associate with a minimum of two years of relevant experience to become a vital part of our team. This role involves delivering comprehensive legal assistance across various corporate and real estate transactions. The successful candidate will be instrumental in offering legal advice and support to our corporate clientele throughout their business journey. We seek an individual who is enthusiastic about corporate and real estate law and possesses strong legal writing skills, along with the ability to conduct independent legal research and manage client matters effectively. Proficiency in contract drafting is essential.

ROLE RESPONSIBILITIES
As a Corporate and Real Estate Law Associate, you will engage in a variety of legal activities, including but not limited to:
- Facilitating purchase, sale, and refinancing of real estate transactions
- Managing private lending transactions on behalf of both lenders and borrowers
- Overseeing corporate finance matters
- Handling corporate reorganizations
- Advising on mergers and acquisitions
- Ensuring corporate governance and compliance
- Providing guidance on franchise law
- Drafting and reviewing commercial leases
- Preparing contracts and legal documents
- Executing Section 85 rollovers
- Supporting startup legal needs
- Addressing various corporate law-related issues
KEY FUNCTIONS
- Transactional Management: Oversee and manage real estate and corporate transactions from start to finish, including but not limited to real estate purchases and sales, private lending, share purchases, mergers, and Section 85 rollovers.
- Document Drafting: Prepare, review, and negotiate a diverse array of legal documents and agreements, such as commercial leases, contracts, and franchise agreements.
- Legal Research: Conduct thorough due diligence and legal research to support transactions and client requirements.
- Corporate Compliance: Advise clients on corporate governance and compliance, ensuring adherence to applicable laws and regulations.
- Client Engagement: Collaborate closely with clients to comprehend their needs and provide customized legal solutions aimed at risk mitigation and profit maximization.
- Portfolio Management: Offer comprehensive legal support to portfolio companies throughout their lifecycle, from initial investment to exit strategies.
- Startup Assistance: Aid startups with legal matters related to formation, funding, and growth.
- Risk Assessment: Identify and address potential legal risks for clients through proactive legal counsel.
- Client Relationship Building: Foster and maintain strong relationships with clients, contributing to business development and client retention.
- Team Collaboration: Work in conjunction with colleagues and support staff to ensure the efficient delivery of legal services.
