Position Overview

The role of the Corporate Law Clerk involves providing essential support to the Corporate Secretarial team in a variety of securities compliance activities. This includes ensuring adherence to regulations set forth by governing bodies such as the OSC, SEC, TSX, and NYSE.

Key Responsibilities
  • Preparation and filing of periodic continuous disclosure documents, including press releases, financial statements, Form 6-Ks, proxy circulars, and AIF/Form 40-F.
  • Coordination with external entities (such as transfer agents and commercial printers) and internal departments (including Finance, Investor Relations, Tax, Treasury, Marketing, and Operating Groups) regarding compliance matters.
  • Assistance with equity compensation administration, including DSUs, RSUs, PSUs, and stock options.
  • General duties related to corporate and commercial law, including maintaining minute books, completing provincial and state filings, and ensuring accurate corporate records.
Qualifications

Education: Community College Diploma or Certificate in Legal Administration or Law Clerk.

Experience: A minimum of 5 years of relevant experience, ideally within a prominent public company or a recognized law firm.

Skills: Strong understanding of stock exchange and securities commission regulations. Excellent verbal and written communication skills. Highly organized with exceptional attention to detail, capable of working independently and managing workload effectively.

Familiarity with platforms such as SEDAR+, EDGAR, SEDI, and TMX LINX, as well as Computershare's GEMs database, is advantageous.
