About the Role

This is a senior-level position within the Legal Department at Scotiabank, reporting directly to the General Counsel. The successful candidate will be responsible for providing expert legal advice and counsel to the bank's senior executive management team, business lines, and strategic transactions team.

Key Responsibilities
  • Transaction Support: Provide strategic and tactical advice on complex commercial arrangements, regulatory matters, and high-volume internal corporate reorganizations and restructurings.
  • Deal Strategy and Tactics: Make important decisions on deal strategy, transactional terms, and conditions, and legal and structural significance, which impact the bank's position.
  • Legal Documentation: Review, draft, and negotiate complex legal documentation to protect the bank's interests and generate significant revenue.
  • Due Diligence: Perform complex evaluations of acquisition candidates to identify and assess legal, commercial, and reputational risks and contingencies.
  • Team Management: Engage, direct, and manage teams of external legal counsel, including specialists in corporate/commercial, securities, regulatory, competition, tax, real estate, employment, and labor law.
  • Subject Matter Expertise: Develop and maintain expertise in multiple jurisdictions in complex fields such as mergers and acquisitions, corporate and commercial law, and other specialty areas relevant to Scotiabank's transactions.
  • Dispute Resolution: Assist with the settlement and resolution of legal disputes relating to transactions.
  • Process Improvement: Improve transactional efficiencies and ensure significant cost savings by taking on internalizing the initial stages of a transaction process and creating sophisticated template transactional documents.
Requirements
  • Education: Graduate of a recognized law school.
  • Experience: At least 4 years of private practice or in-house experience.
  • Professional Membership: Membership in the law society of one of the provinces of Canada.
  • Skills: Exceptional analytical, leadership, problem-solving, relationship-building, negotiating, communication, and project/people management skills.
  • Deal Experience: Extensive experience evaluating, negotiating, structuring, and leading complex cross-border M&A transactions from a leading international law firm.
  • Location: Located in Toronto.
Work Arrangement:

This is a hybrid position, with employees expected to work from the office a minimum of 3 days per week, with at least 1 day being a Monday or a Friday, subject to business needs.
