Position Overview:

Reporting directly to the Senior Director - Commercial, the Commercial Legal Advisor will take a proactive role in offering legal counsel to internal stakeholders and supporting 1Password across a diverse range of legal matters. This includes, but is not limited to, contract negotiations, marketing initiatives, and ensuring compliance with legal and regulatory standards. Collaboration with various teams and stakeholders will be essential to address 1Password's extensive legal requirements.

Key Responsibilities:

  • Provide legal expertise and guidance on commercial transactions, ensuring alignment with business objectives.
  • Draft, negotiate, and review a variety of legal documents, including Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), and data processing agreements.
  • Advise on legal issues related to marketing, advertising, privacy, and intellectual property as necessary.
  • Work closely with the contract manager to streamline workflows within the contract lifecycle management (CLM) tool.
  • Support the Go to Market (GTM) team in achieving their objectives while adhering to tight deadlines.
  • Collaborate with the legal operations specialist to enhance processes and improve the efficiency of commercial transactions.

Qualifications:

  • Juris Doctorate or equivalent legal degree, with active bar membership.
  • 2-4 years of relevant in-house experience in a SaaS environment, particularly in supporting sales, product, and marketing teams.
  • Strong negotiation skills and experience in drafting commercial agreements.
  • Excellent communication abilities, both written and verbal, with a knack for building relationships across departments.
  • Proficient understanding of data privacy laws and practices within the SaaS sector.
  • A proactive approach to problem-solving, with the ability to navigate ambiguity in a fast-paced environment.
