Your Role at Baxter

As a Senior Paralegal, you will conduct legal research, investigate facts, and prepare documentation to assist the Director of Legal (Canada) and other stakeholders. You will address various legal issues and manage projects while appropriately seeking attorney review and approval. Additional responsibilities include legal administration and other tasks as directed. You will draft, review, amend, negotiate, and finalize a range of contracts, including RFP bids and responses, as well as legal correspondence. You will respond to and resolve inquiries related to contract compliance and routine legal questions under the guidance of the Director of Legal (Canada).

Key Responsibilities

Assist in addressing routine legal matters raised by counterparties to agreements, including product purchases, provincial health authorities, supply agreements, clinical/research studies, confidentiality agreements, professional services, software licensing, consumer marketing, manufacturing, purchasing, supplier management, transportation, equipment rental/leasing, and RFP responses. Support the Director of Legal (Canada) with daily workload, including providing advice on a variety of legal issues and commercial activities. Engage in special projects as required. Collaborate with the contracts team to ensure compliance with Baxter's legal standards. Independently manage a diverse array of contracts associated with various Baxter business units in Canada. Interact with internal clients and external parties at all levels, exercising discretion and independent judgment on contracts and related matters. Develop and update templates utilized by Baxter for standard agreements. Conduct internet-based research on a wide range of legal topics, including corporate law, intellectual property, privacy, procurement, ethics, and compliance.

Qualifications

Paralegal or Law Clerk diploma - Licensed Paralegal. A minimum of 10 years of experience in drafting, reviewing, and negotiating various general business contracts and legal correspondence. Over 10 years of experience as a paralegal or law clerk in a corporate legal environment. Experience and/or education in healthcare industry privacy and competition law. Proficiency in French is an asset. Strong legal research skills and comprehensive knowledge of legal resources and databases. Excellent oral and written communication, organizational, analytical, and interpersonal skills. Strong software database and internet search capabilities, along with project management skills. Ability to manage multiple tasks, prioritize effectively, gather and analyze information, and meet deadlines efficiently. Self-starter with the initiative to drive projects to completion, including follow-up matters; gathering information; collating, summarizing, and organizing data; and working with minimal supervision. Attention to detail is essential. Ability to collaborate and work effectively with individuals at all levels, both internal and external, including attorneys, paralegals, business contacts, and third-party attorneys.
